THE BOARD MAY ALSO FACTOR INTO THE COMPENSATION EQUATION, THE RESULTS OF THE ANNUAL EVALUATIONS OF THE EXECUTIVE DIRECTOR. THE BOARD OF DIRECTORS MAY BASE ITS REASONING AND BASIS OF ANY EXECUTIVE COMPENSATION DECISIONS ON THE REPORTS OF PROFESSIONALS.
