Form 990, Part III, Line 3
In late 2012 the Board of Directors undertook a strategic planning process that resulted in the elimination of the Organization's 30+ year role as the regional administrator of federal Title X family planning funds, supporting comprehensive family planning services at health care facilities around Northeast Ohio. The Title X program was eliminated June 2013.

The Organization's Form 990, and related schedules, is reviewed by the members of the Finance Committee and then distributed to the members of the Board electronically. It is also posted to the Board area of the Organization's intranet.
Form 990, Part VI, Section B, Line 12c
The Organization distributes the conflict of interest policy on an annual basis and requires all employees and Board members to acknowledge receipt and compliance. Additionally, the Board Chair inquires whether an conflicts exist before taking a vote on action items/recommendations. If there is a conflict the person(s) with the conflicting interest is prohibited from voting on the related action item/recommendation.

The organization participates in a variety of compensation market surveys for nonprofit organizations annually, which allows the organization access to the compiled data. The surveys are reviewed periodically. The compensation of administrative staff is reviewed periodically to ensure comparable to market rates based on regional compensations survey results published by employment agencies. The compensation of the Executive Director is set by the Executive Committee of the Board.

Change in the fair value of the Organization's interest in perpetual trust of $1,304,378. In addition, in January 2013, the fiscal sponsorship of groundWork program was transferred from the Organization to a new fiscal sponsor. As part of the transition, unspent grant funding of $181,375 was transferred to the new fiscal sponsor.
