Briefly describe the organization’s mission: THE MISSION OF UNITED WAY OF MIAMI DADE IS TO BUILD COMMUNITY BY HELPING PEOPLE CARE FOR ONE ANOTHER. UNITED WAY BRINGS PEOPLE AND INSTITUTIONS TOGETHER TO IMPROVE THE EDUCATION, FINANCIAL STABILITY AND HEALTH OF OUR COMMUNITY AND ITS RESIDENTS.

United Way is working to advance the common good by focusing on education, financial stability and health. These are the building blocks for a good life a quality education that leads to a stable job, enough income to support a family through retirement, good health and safe living conditions. For the Fiscal Year ended June 30, 2014 United Way accomplishments included: Education - The United Way Center for Excellence in Early Education, an innovative teaching and training initiative dedicated to elevating the quality of early care and education in Miami-Dade and beyond, trained 4,145 early childhood professionals in quality practices which had a direct impact on 78,755 Miami-Dade preschoolers , making them better prepared for scholastic success. 32,206 children attended after-school programs that enabled them to improve academic skills and avoid risky behaviors, such as drinking alcohol, smoking and taking drugs. Financial Stability - More than 3,000 people received food assistance. 4,771 individuals and families received counseling that will enable them to improve their financial stability and achieve their goals. Helped Miami-Dade taxpayers receive more than $11 million in tax refunds and Earned Income Tax Credits of almost $4 million. Health - 47,935 individuals saved $2.3 million on prescription drugs through United Ways partnership with FamilyWize. 11,154 older adults were provided with nutritious meals.

FIN 48 AND ASC 740 Footnote United Way adopted the provisions of FASB ASC 740 Accounting for Uncertainty in Income Taxes, on July 1, 2009. Under FASB ASC 740, an organization must recognize the tax benefit associated with tax positions taken for tax return purposes when it is more-likely-than-not that the position will be sustained. United Way does not believe there are any material uncertain tax positions and accordingly has not recognized any liability for unrecognized tax benefits. United Way has filed for and received income tax exemptions in the jurisdictions where it is required to do so. Additionally, United Way has filed Internal Revenue Service Form 990 tax returns as required and all other applicable returns in those jurisdictions where it is required. United Way believes that it is no longer subject to U.S. federal, state and local, or non-U.S. income tax examinations by tax authorities for years before 2009. However, United Way is still open to examination by taxing authorities from fiscal year 2009 forward. No interest or penalties have been recorded in the financial statements related to any uncertain tax positions.

PART I, LINE 2 PROCEDURES TO MONITOR THE USE OF GRANT FUNDS IN THE UNITED STATES United Way monitors both the program funding and the agency's fiscal and organizational health. Regarding the programs, our contracts contain specific deliverables (outcomes and outputs) that are monitored for all programs on a yearly basis and for programs where we have some concerns every six months or more often, depending on the issues. Regarding the organization's overall management, we require agencies to complete the "Common Administrative Assessment Tool" once during the three year contract period. Regarding the agency's financial health, all agencies are required to submit yearly audits conducted by an independent auditor, the management letter and response to management letter and the 990 form. Our Audit Committee reviews the information and assigns a letter grade to each agency. In addition, our relationship with the agencies is governed by our Policies and Procedures Manual which includes expected standards of performance in the areas of governance, financial management, staff and volunteer management, service delivery, and communications.

REFINANCING DEBT INCLUDING A SWAP AGREEMENT WITH A HIGHER INTEREST RATE. IN DECEMBER 2012, UNITED WAY OF MIAMI-DADE EXECUTED A REFINANCING AGREEMENT WITH BANKUNITED, AND THE MIAMI-DADE COUNTY INDUSTRIAL DEVELOPMENT AUTHORITY IN CONJUNCTION WITH THE ISSUANCE OF THE TAX-EXEMPT REVENUE REFUNDING BONDS, PAR VALUES TOTALING $15,415,000. PURSUANT TO THE LOAN AGREEMENT, UNITED WAY OF MIAMI-DADE USED BOND PROCEEDS TO PAY OUT $13,615,000, WHICH WAS THE OUTSTANDING PRINCIPAL OF THE 2008 LOAN AGREEMENT. UNITED WAY OF MIAMI-DADE ALSO TERMINATED THE SWAP AGREEMENT WITH WELLS FARGO. AT THE TIME THE REFINANCING WAS EXECUTED AT JUNE 30, 2013, UNITED WAY OF MIAMI-DADE OUTSTANDING BALANCE UNDER THE 2012 LOAN WAS $15,059,081. AT JUNE, 30 2014 THE OUTSTANDING BALANCE IS $14,490,226. THE TERMS OF THE LOAN REQUIRES THE ENTITY TO MAINTAIN CERTAIN FINANCIAL COVENANTS. AT JUNE 30, 2014, UNITED WAY OF MIAMI DADE IS COMPLIANT WITH THE COVENANTS.
