Any paid employee or officer compensation will be determined by the Board of Directors. The panel of the Board of Directors approving the compensation must be composed entirely of individuals unrelated to the person or persons involved. When determining compensation the Board shall consider whether the proposed compensation is reasonable when compared with similarly-situated organizations for functionally comparable positions taking into account the location of the organization and the availability of similar specialties in the geographic area.The Board of Directors shall set forth in the resolution approving the transaction the basis for its determination that the compensation is reasonable based upon the evidence presented. The resolution shall be filed by the Secretary in the Minutes book of the corporation.

Copies of the completed draft Form 990 (including required schedules) are distributed to the Chairman and the audit committee of CDE Foundation's Board of Directors. Any questions or concerns are noted and addressed by CDE Foundation staff to ensure that changes are incorporated into the Form 990 as deemed appropriate. The Form 990 is then distributed to all members of the Board of Directors. After all input has been appropriately addressed, the Form 990 is filed and the final version of the Form 990 (with required schedules) is distributed to every member of the Board of Directors.

Form 990, Part III, Line 4d: Other Program Services Description
OTHER PROGRAM SERVICES 4: Labor Management The CDE Foundation has collaborated with a consulting firm to plan, launch, and manage a Labor-Management Initiative (LMI). By linking and building capacity for stakeholders who are involved in labor and management at the ground level, the LMI aims to identify ways to collaboratively harness their resources, talents, and energies around solutions that demonstrate an alternative approach for labor-management relations that could set the stage for partnerships across the state. Education Technology Task Force The CDE Foundation supported the convening of an Education Technology Task Force (ETTF) to make recommendations for the creation of a California Education Technology Blueprint. Team California For Healthy Kids Team California for Healthy Kids is a campaign to ensure all students are healthy, nourished, physically active and ready to learn. To date the CDE Foundation has participated in the communication and messaging around the goals of the campaign through social media and website resources. STEM Education Expenses: The CDE Foundation supported the convening of 55 volunteers to become members of the STEM Task Force. Between May and October 2012, the STEM Task Force met face-to-face four times. During this time span members explored the status of STEM education in curriculum, instructional practices, professional learning, student testing, existing resources, and community and business partnership. The STEM Task Force members also assessed the states future needs and developed recommendations. Currently, the co-chairs are editing the working draft of the final report for submission to the SSPI. The CDE Foundation also collaborated with a consulting firm to begin the planning of an environmental education taskforce and started to work on a state wide STEM conference for educators that will take place in November of 2013. Educator Excellence Task Force The CDE Foundation has supported the efforts by the California Department of Education (CDE), in partnership with the Commission on Teacher Credentialing (CTC), to recruit an Educator Excellence Task Force (EETF) to examine the state of the teaching profession in California and make recommendations about how to improve the recruitment, training, hiring, retention and evaluation of teachers. The resulting report Greatness By Design was released in September 2012. Next Generation Science Standards The CDE Foundation supported the convening of a state level committee to provide feedback and influence NGSS development. Whole Child Integrated Action Team- Convened CDE staff from multiple departments to identify ways in which CDE can promote student access to healthcare, social services, expanded learning programs and other support services needed for student success.
