ANY STAKEHOLDER INVOLVED IN CONFLICT OF INTEREST SHALL DISCLOSE ALL FACTS AND MATERIAL AT THE SCHEDULED BOARD MEETING (OR IF ATTENDANCE IS NOT POSSIBLE, THE FACTS AND MATERIAL CAN BE DISCLOSED TO THE BOARD PRESIDENT OR OTHER OFFICER); THIS INFORMATION WILL BE REFLECTED IN THE MINUTES OF THE MEETING. 3.
