TO THE RESULTING NEW ORGANIZATION,INITIALLY CALLED "CAMPS OF COURAGE AND FRIENDSHIP".
  FORM 990, PART VI, SECTION A, LINE 4 THE SECOND AMENDED AND RESTATED ARTICLES OF INCORPORATION OF COURAGE FOUNDATION,INC. WERE AMENDED AND FILED WITH THE MINNESOTA SECRETARY OF STATE ON NOVEMBER 27, 2012 FOR THE FOLLOWING CHANGE: "THE CORPORATION IS ORGANIZED AND SHALL BE OPERATED EXCLUSIVELY FOR CHARITABLE AND EDUCATIONAL PURPOSES. THE GENERAL PURPOSE AND PLAN OF THE CORPORATION SHALL BE TO RECEIVE AND INVEST INTER VIVOS GIFTS AND TESTEMENTARY DEVISES OF REAL OR PERSONAL PROPERTY, OR BOTH, AND SUBJECT TO THE RESTRICTIONS AND LIMITATIONS HEREINAFTER SET FORTH, TO USE AND APPLY THE WHOLE OR ANY PART OF THE INCOME THEREFROM AND/OR THE WHOLE OR ANY PART OF THE INCOME THEREFROM AND/OR THE WHOLE OR ANY PART OF THE PRINCIPAL THEREOF EXCLUSIVELY FOR THE BENEFIT OF COURAGE CENTER AND CAMPS OF FRIENDSHIP AND COURAGE (THE "PERMITTED ORGANIZATIONS"). "THIS AMENDMENT WAS APPROVED BY THE BOARD OF DIRECTORS IN A MEETING HELD SEPTEMBER 27, 2012 TO FACILITATE THE CHANGE WHEREBY IN NOVEMBER 2012, COURAGE CENTER AND COURAGE FOUNDATION REACHED AN AGREEMENT WITH FRIENDSHIP, AND ITS AFFILIATE FRIENDSHIP FOUNDATION, TO TRANSFER CAMP ASSETS NET OF CAMP LIABILITIES OF COURAGE CENTER AND COURAGE FOUNDATION. PURSUANT TO A PLAN OF MERGER, EFFECTIVE JUNE 1, 2013, COURAGE FOUNDATION, INC., A MINNESOTA NONPROFIT CORPORATION, MERGED WITH AND INTO SISTER KENNY FOUNDATION, A MINNESOTA NONPROFIT CORPORATION, WITH SISTER KENNY FOUNDATION BEING THE SURVIVING CORPORATION. ARTICLES OF MERGER WERE FILED WITH THE MINNESOTA SECRETARY OF STATE IN ACCORDANCE WITH MINNESOTA STATUTES SECTION 317A.615 ON JUNE 1, 2013. SISTER KENNY FOUNDATION'S BOARD OF DIRECTORS APPROVED THE AMENDED AND RESTATED ARTICLES OF INCORPORATION AND THE THIRD AMENDED AND RESTATED BYLAWS ON JUNE 5, 2013 FOR THE PURPOSE OF CHANGING ITS NAME TO COURAGE KENNY FOUNDATION. THE THIRD AMENDED AND RESTATED ARTICLES WERE FILED WITH THE MINNESOTA SECRETARY OF STATE ON JULY 15, 2013 STATING IN ARTICLE I THE NAME OF THE CORPORATION TO BE COURAGE KENNY FOUNDATION. THE SOLE MEMBER OF COURAGE KENNY FOUNDATION IS ALLINA HEALTH SYSTEM.
  FORM 990, PART VI, SECTION B, LINE 11 COURAGE FOUNDATION'S FORM 990 WAS PREPARED BY THE TAX SERVICES FUNCTION OF ALLINA HEALTH SYSTEM. AS OF JUNE 1, 2013 COURAGE FOUNDATION, INC. WAS MERGED WITH AND INTO COURAGE KENNY FOUNDATION WHOSE SOLE CORPORATE MEMBER AND SUPPORTED ORGANIZATION WAS ALLINA HEALTH SYSTEM. THE FORM 990 FILING WAS SUBJECTED TO A RIGOROUS REVIEW PROCESS BY ALLINA'S TAX MANAGER AND TAX DIRECTOR. ALLINA'S VICE PRESIDENT OF FINANCE & TREASURY ALSO PERFORMED AN EXECUTIVE REVIEW OF THE FORM 990. AFTER THE MANAGEMENT REVIEW PROCESS DESCRIBED ABOVE WAS COMPLETED, THE FINAL FORM 990, AS ULTIMATELY FILED WITH THE INTERNAL REVENUE SERVICE ["IRS"], WAS PROVIDED TO EACH VOTING MEMBER OF COURAGE KENNY FOUNDATION'S BOARD OF DIRECTORS. COURAGE KENNY FOUNDATION'S BOARD OF DIRECTORS VOTED ON AND APPROVED A RESOLUTION APPROVING THE FORM 990 AND THE MINNESOTA CHARITABLE ORGANIZATION ANNUAL REPORT TO BE FILED WITH THE MINNESOTA ATTORNEY GENERAL. THE BOARD OF DIRECTORS RESOLUTION ALSO DIRECTED OFFICERS TO FILE THE FORM 990 WITH THE IRS AND THE CHARITABLE ANNUAL REPORT WITH THE CHARITIES DIVISION OF THE OFFICE OF THE MINNESOTA ATTORNEY GENERAL. THE ABOVE STATED REVIEW AND APPROVAL PROCESS OCCURRED PRIOR TO FILING COURAGE FOUNDATION'S FORM 990 WITH THE IRS AND MINNESOTA CHARITABLE ORGANIZATION ANNUAL REPORT WITH THE MINNESOTA ATTORNEY GENERAL.
  FORM 990, PART VI, SECTION B, LINE 12C COURAGE FOUNDATION HAD A CONFLICT OF INTEREST POLICY COVERING ALL BOARD MEMBERS, OFFICERS, DIRECTORS AND KEY EMPLOYEES. COURAGE FOUNDATION REQUIRED BOARD MEMBERS, OFFICERS, DIRECTORS AND KEY EMPLOYEES TO REVIEW AND SIGN A CONFLICT OF INTEREST DISCLOSURE QUESTIONNAIRE AT LEAST ANNUALLY. THIS PROCESS WAS OVERSEEN BY THE LEGAL COMPLIANCE COMMITTEE OF THE BOARD. THE COMMITTEE REPORTED REGULARLY TO THE BOARD. IF A CONFLICT AROSE, THE OFFICER, BOARD MEMBER, OR KEY EMPLOYEE INVOLVED WAS REQUIRED TO RECUSE THEMSELVES FROM THE SPECIFIC CONFLICT ISSUE, INCLUDING DELIBERATIONS AND DECISION MAKING. AN OFFICER OR BOARD MEMBER WOULD BE REMOVED FROM THE BOARD IF CONFLICTS ROSE TO THE LEVEL RENDERING THE OFFICER OR DIRECTOR INEFFECTIVE. ALL EMPLOYEES RECEIVED AND WERE EXPECTED TO FOLLOW A CODE OF CONDUCT WHICH PROVIDED GUIDANCE ON AVOIDING AND RESOLVING POTENTIAL CONFLICTS OF INTEREST. COURAGE FOUNDATION'S RELATED ORGANIZATION COURAGE CENTER MAINTAINED A 24 HOUR ANONYMOUS COMPLIANCE HOTLINE TO COLLECT AND RESPOND TO ETHICAL AND LEGAL CONCERNS OF STAFF AND CUSTOMERS.
  FORM 990, PART VI, SECTION B, LINE 15 COURAGE FOUNDATION HAS NO EMPLOYEES AND DOES NOT PAY COMPENSATION. ANY COMPENSATION DISCLOSED AS PAID BY A RELATED ORGANIZATION IS DETERMINED SOLELY BY THE RELATED ORGANIZATION. THE ORGANIZATION HAD ORIGINALLY ACCOUNTED FOR SEVERAL OF THE DONOR'S GIFTS AS UNRESTRICTED, AS THEY CONCLUDED THE DONOR HAD GRANTED THEM VARIANCE POWER. UPON COMPLETION OF THE DUE DILIGENCE WORK, IT WAS DETERMINED THAT MISSTATEMENTS WERE MADE BY THE ORGANIZATION IN ITS INITIAL CLASSIFICATION OF CERTAIN DONOR GIFTS. THE CORRECTION ALSO ACCOUNTS FOR ENDOWMENT FUNDS UNAPPROPRIATED EARNINGS UNDER UPMIFA, WHICH ARE TO BE REPORTED AS TEMPORARILY RESTRICTED NET ASSETS. ACCORDINGLY, NET ASSETS AS OF OCTOBER 1, 2012, HAVE BEEN RESTATED TO CORRECT FOR THE MISSTATEMENT IN THE APPLICATION OF U.S. GAAP FOR REPORTING OF DONOR RESTRICTIONS AND THE RESULTING CLASSIFICATION OF NET ASSETS. THE AMOUNT OF THE RESTATEMENT WAS $511,137 REFLECTED AS A PRIOR PERIOD ADJUSTMENT IN PART XI LINE 8.
