Return Reference Explanation
Part I, Line 3: Resolution to terminate authorizes the Trust pursuant to Section 10.1 to use the assets in the Trust for purposes permissible under the terms of the Trust and the Internal Revenue Code. Section 10.1 of the Trust provides the Trustee shall, as soon as practicable, settle the affairs of the trust and disburse any and all funds remaining in the trust, after the payment of any and all expenses outstanding, as directed by the Company or the Plan Administrator, according to the terms and provisions of the plan. The Company authorizes and directs the trustee to pay any and all outstanding expenses and disburse the full balance remaining for the payment of future health insurance premiums for active employees to the insurance company designated by the Company.
