| Form 990, Part VI, Line 4: Description of Significant Changes to Organizational Documents | Amendment to United Power's bylaws in Section 4.03, as follows:To require a legal entity, such as a corporation, partnership, limited liability company, trust, estate, and governmental bodies or entities, to be a cooperative member for at least two years, similar to an individual member, before it may designate a representative who may run for the position of Director. The person designated by the legal entity to serve as its representative remains exempt, pursuant to the current bylaws, from qualifications (d) and (e) below, qualifications which apply only to an individual member:d) be a Member at least two (2) years immediately before becoming a Director;e) receive electric service from the Cooperative at his or her primary residential abode which is located in the district he or she is to represent.The language helps to clarify the membership qualifications of a legal entity and makes length of membership for a legal entity the same as for any individual member qualified to hold a board seat. The individual representative will be exempt from the two (2) year membership and requirement of receipt of electric service because the legal entity must meet such requirements before it can designate such a representative. |
