Explanation
Form 990, part VI, line 11
The Form 990 was prepared by an independent accounting firm in conjunction with the organization's financial department. A copy of the draft form 990 was circulated to the full board of trustees in either paper or electronic form for discussion and comment. Each board member was provided ample opportunity to comment on the information contained in the 990 prior to its filing with the Internal Revenue Service.
Form 990, Part Vi, Line 12
The IGHL Foundation operates under the conflict of interest policy of its parent organization, Independent Group Home Living Program, Inc. The policy and annual disclosure forms are distributed to all board members, officers and management staff. Each individual is required to sign and review the disclosure form and provide information about any relationships they may have with IGHL, other employees, and/or vendors that conduct business with IGHL. All submissions are reviewed by Human Resources to determine if a conflict exists; when a conflict arises, the individuals affected are prohibited from participating in the decision-making process related to any transaction occurring with the conflicted organization. Form 990, Part VI, Line 13 & 14 Independent Group Home Living Foundaion, Inc. operates under the whistleblower and document retention policy of its parent organization, Independent Group Home Living Program, Inc ("IGHL").
Form 990, Part VI, Line 15
IGHL Foundation does not compensate any of the individuals reported on part VII of the Form 990. The Board of Directors is comprised of individuals who volunteer their time; the three individuals reported with compensation are paid by a related party, Independent Group Home Living Program, Inc. The processes used to determine Mr. Stockton, Ms. Lichtneger and Mr. Lombardi's compensation are disclosed on IGHL's Annual Form 990.
Form 990, part VI, Line 19
The organization makes its Form 990 available to the public by retaining a copy at its place of business. The Form 990 is likewise published on the internet at www.guidestar.org. The organization's financial statements, governing documents and conflict of interest policy are not ordinarily made available to the public, but, if requested, will be provided at management's discretion. Part VII Compensation & Part IX - Functional Expenses Director of the Foundation, Frank Lombardi, receives his compensation from a related party, the Independent Group Home Living Program, Inc. Mr. Lombardi provides services to IGHL, the Foundation and various other IGHL affiliated organizations; accordingly, a portion of his salary is allocated to each company depending on time spent providing services. All compensation is being reported as having been paid by IGHL (as IGHL issued Mr. Lombardi's W-2); in the interest of clarity, the Foundation is disclosing the following salary and benefits amounts as having been reimbursed by the Foundation to IGHL: Salary - $34,876 Benefits - $18,597 Mr. Lombardi's allocated salary is reported on Part IX, Line 5 and his allocated benefits on Part IX, Line 9. A portion of Ms. Lichtneger and Mr. Stockton's reportable compensation is allocated to the Foundation as well. In 2013, the amount of salary allocated to the Foundation is as follows: Ms. Lichtneger - $838 Mr. Stockton - $13,792 Their allocated salary, along with additional employee reimbursed salaries and administrative costs, are reported on Part IX, Line 21 and on Schedule R, Part V, Line 2 CODE O. Form 990, Part VII - Hours Worked Officers, Walter Stockton, MaryBeth Lichtneger and Frank Lombardi provide services for the Foundation and various IGHL related entities.
