Recommendation is made to board by the CEO and then CEO is excused while the entire board discusses salary and bonuses. They do not keep minutes of the discussion other than simply discussed CEO's salary and bonuses for staff. Board then calls CEO back into the meeting and informs CEO of the salary set, and gives verbal comments on performance. Each board member signs off on document indicating approved salary and bonuses. |
