THREE BOARD MEMBERS ARE EMPLOYEES OF THE LOPA'S MEMBER INSTITUTIONS. THESE EMPLOYEES ARE TRANSPLANTS SURGEONS, AND ACTUALLY PERFORM ORGAN PROCUREMENT SERVICES FOR LOPA. LOPA PAYS THE SURGEON FEES AND HISTO-COMPATABILITY LAB FEES TO THE MEMBER INSTITUTIONS THAT EMPLOY THE SURGEONS. THE SURGEONS ARE COMPENSATED FOR THEIR SERVICES BY THEIR EMPLOYERS. ALTHOUGH THE BOARD MEMBERS ARE NOT COMPENSATED DIRECTLY BY LOPA, THEY ARE COMPENSATED BY THEIR INSTITUTIONS FOR SERVICES PROVIDED TO LOPA, AND ARE THUS DEEMED NON-INDEPEDENT BOARD MEMBERS.
