Amendment, alteration, change or repeal of any provisions contained in the Restated Articles or in any amendment thereof no longer requires ratification by a majority of the constituent Districts of the Church of the Brethren. In the event of dissolution assets remaining after payment of all debts shall be transferred to the Mission and Ministry Board of the Church of the Brethren rather than to the General Board of the Church of the Brethren exclusively for the benefit of the church districts of the Church of the Brethren. The number of members of the governing board has been reduced from 37 to not more than 36 and not less than 25. All members are Trustees-at-Large. It is the intention that normally at least six Trustees will be members of the Church of the Brethren served by the Mission and Ministry Board of the Church of the Brethren, and at least six other Trustees will be alumni of the university. It is no longer required that one Trustee from each of the constituent Districts of the Church of the Brethren and five Alumni Trustees elected by the Alumni Association serve on the board. Selection of Trustees-at-Large no longer requires approval of the constituent Districts of the Church of the Brethren. No faculty, student or staff member other than the President may serve as a Trustee. There is no longer a Nominating Committee. The board upon recommendation of the Executive Committee and by the affirmative vote of two-thirds of the Trustees present at any meeting may select a present or former trustee to serve as an Honorary Trustee, entitled to attend all meetings of the Board without the right to vote or hold office, and not to be counted in determining the presence of a quorum. Ex-officio members shall serve without a vote and not be counted as part of a quorum. Each standing committee shall have a written statement of purposes, role and scope, as approved by the Board, and rules of procedure or policy guidelines. Such statements shall be reviewed annually. Each standing committee shall meet at least two times annually and submit minutes to the Board at least once annually. The Executive Committee shall consist of the President, who shall be ex-officio, the Chair, the Vice-Chair, the Secretary, and at least four and up to seven additional members of the Board nominated by the Governance Committee and approved by the Board with the goal of having broad representation from the standing committees. It is no longer required that each standing committee be represented. The Executive Committee is no longer responsible for leading the search for a new President. A Governance Committee has been added, consisting of at least five and up to seven members of the Board, with the President serving as secretary of the Committee. The Committee will meet no fewer than three times annually. The Committee has responsibility for making recommendations on board organization and procedures, performing evaluations of the Board and its members, board orientation and continuing education, submitting a slate of officers for consideration by the Board, and nominating qualified board members while striving for the inclusion of diverse groups, knowledge, and viewpoints. The composition of the Audit Committee has changed from at least three and not more than five to at least two and up to four members of the Board and may, if desired by the Board, include one non-trustee member who is knowledgeable, and has training and experience on financial matters. There is no longer a requirement that one member of the Committee on Financial Affairs serve on the Audit Committee. The Audit Committee shall meet no fewer than three times annually. The term of the President has been reduced from not to exceed six years to one year, elected annually. The Chair of the Board shall be a member of the Executive Committee and an ex-officio member of the Governance Committee.

Each board member is required to complete a Conflict of Interest statement annually. The statements are reviewed by both the Chair of the Board and the President. Both make assessments of the comments and discuss the results of their review together. If questions arise as a result of the review they are asked and responded to. Annually the Audit Committee will inquire of the Chair of the Board as to confirmation that all Conflict of Interest statements were turned in, appropriately completed and reviewed, and will report this to the full board. The Chair of the Audit Committee reviews the Conflict of Interest statements of the President and the Chair of the Board. It is the responsibility of the Chair of the Board, the President, and Board members to disclose any conflict of interest in any Board item being considered for action by the Board.

The President's compensation package is reviewed annually by a Personnel Committee of Executive Committee members appointed by the Chair of the Board. Data is collected by the Director of Human Resources as requested by the Personnel Committee. Compensation is reviewed and compared to CUPA data. The Personnel Committee reports their recommendation at an executive session of the Executive Committee. Confidential minutes are taken of these discussions and kept for documentation. The Executive Committee reports their work and findings to the Board, also in executive session. The Audit Committee verifies with the Chair that this process has been appropriately completed annually.
