Changes to Organizational documents
The organization's bylaws were amended during the year to include the following changes: 1) Updates to governance decisions that must obtain approval from the sole member 2) The number and composition of directors from the sole member 3) Addition of an Investment Advisory Committee, Special Events Advisory Committee, and removal of the Liaison Committee. Form 990, Part VI, Question 6, 7a, & 7b Members Yampa Valley Medical Center is the sole member of the Foundation. The sole member shall be entitled to: 1) Approve amendments to the articles of incorporation 2) approve amendments to the by-laws 3) Administer the dissolution and liquidation of the Foundation in the event of its insolvency or the decision of the Foundation's board of directors to cease operations. 4) Approve selection of Directors In addition, one of YVMC trustees and the YVMC CEO serve on the Foundation's seven member executive committee.

The Form 990 is prepared by an independent accounting firm with the assistance of the organization's accounting department. The Finance Committee of the Board of Directors reviews the draft of the 990 prior to completion. The final draft is approved by the Board of Directors prior to filing Form 990 with the IRS.

Describe how conflict of interest policy is monitored & enforced
Board members review and sign an annual conflict of interest policy. The Executive Director and executive committee are diligent in the monitoring of the policy at monthly board meetings. Immediate termination is the result of a conflict of interest.

Describe process for determining CEO's compensation
The CEO receives compensation from a related organization, Yampa Valley Medical Center (YVMC). The Human Resources executive uses various compensation surveys to prepare an analysis on CEO compensation for the Board of Trustees to review. The Board's Executive Compensation Committee reviews the analysis and uses it to determine the CEO's compensation. At the end of 2011, the YVMC Board engaged an external compensation consultant firm to perform an Executive Total Compensation Review that was partly used to determine compensation for the new CEO in 2012.

Other officers receive compensation from a related organization, Yampa Valley Medical Center (YVMC). The Human Resources executive uses various compensation surveys to prepare an analysis for other officers or key employees compensation where a similar and comparable job position is available for the CEO to review. The CEO reviews the analysis and uses it to determine the officers or key employees compensation. The CEO also has the ability to review the salary surveys directly. At the end of 2011, the YVMC Board engaged an external compensation consultant firm to perform an Executive Total Compensation Review that was partly used to determine compensation for officers or key employees compensation in 2012.
