Form 990, Part VI, Section B, Line 11b
The Finance team at buildOn is responsible for the timely preparation of the Form 990. The completed Form 990 will be provided to the entire National Board of Directors in advance of the filing deadline to enable a detailed and conscientious review by all board members. All questions and concerns of the Board will be addressed by the Finance team and incorporated into the return as appropriate. Senior management of buildOn will file the final form 990 as required.
Form 990, Part VI, Section B, Line 12c
The chairman of the Governance Committee of the National Board of Directors requests all officers, directors and key employees to disclose interests that could give rise to conflicts. It is required that each director, officer, CEO, COO and CFO annually complete and sign a disclosure statement.
Form 990, Part VI, Section B, Line 15
The CEO's performance is reviewed on an annual basis by the Governance Committee of the National Board of Directors. The Governance Committee sends the performance review out to the National Board of Directors for comment. The Governance Committee then compiles all comments and conducts the performance review and makes a recommendation to the Finance Committee regarding the CEO's salary. It is the Finance Committee that ultimately determines the compensation of the CEO using comparable compensation obtained from compensation surveys of similarly situated organizations. The last time the CEO accepted a salary increase was July 1, 2010. The COO, CFO, CMO, VP of US Programs and VP of International Programs are all officers of the company. With the National Board of Director's approval, the CEO reviews and sets the salary of the Officers of buildOn based upon comparable compensation obtained from compensation surveys of similarly situated organizations. All performance reviews are documented in the employee's personnel file. All officers received a performance review in 2013.
