THE SCHOOL DOES NOT RECEIVE TUITION DIRECTLY FROM STUDENTS, RATHER ITS REVENUE IS PRINCIPALLY DERIVED FROM PROGRAM FEES RECEIVED FROM HULT INTERNATIONAL BUSINESS SCHOOL AG ("HULT"). A MEMBER OF THE BOARD OF DIRECTORS HAS AN OWNERSHIP INTEREST IN HULT. THE SCHOOL RECEIVES A PROGRAM FEE FROM HULT FOR DELIVERY OF THESE EDUCATIONAL SERVICES. PROGRAM FEES FROM HULT TOTALED $34,221,598 FOR THE YEAR ENDED SEPTEMBER 30, 2014. AT SEPTEMBER 30, 2014, HULT HAD ADVANCED THE SCHOOL PROGRAM FEES TOTALING $3,095,846, WHICH WERE RECORDED AS DEFERRED PROGRAM FEES. HULT HAS ALSO INCURRED EXPENSES ON BEHALF OF OR MADE NON-INTEREST BEARING ADVANCES TO THE SCHOOL IN THE NORMAL COURSE OF OPERATIONS. AS OF SEPTEMBER 30, 2014, THE SCHOOL OWED HULT $968,573. THE SCHOOL HAS ENTERED INTO AN AGREEMENT WITH EF INSTITUTE FOR CULTURAL EXCHANGE, INC. ("EF INSTITUTE"), WHEREBY EF INSTITUTE PROVIDES CERTAIN GENERAL AND ADMINISTRATIVE SERVICES TO THE SCHOOL. THE AGREEMENT EXPIRES SEPTEMBER 30, 2015 AND IS SUBJECT TO ANNUAL RENEWAL. THE SCHOOL WAS CHARGED $1,204,374 BY EF INSTITUTE FOR THESE SERVICES DURING THE YEAR ENDED SEPTEMBER 30, 2014. AT SEPTEMBER 30, 2014, THE SCHOOL HAD A BALANCE PAYABLE TO EF INSTITUTE, TOTALING $8,531. THE SCHOOL ENTERED INTO AN AGREEMENT WITH EFEKTA SCHOOLS, INC. ("EFEKTA") IN 2006 TO LEASE CLASSROOM AND ADMINISTRATIVE SPACE IN CAMBRIDGE, MASSACHUSETTS. RENT EXPENSE UNDER THE LEASE AGREEMENT TOTALED $914,895 FOR THE YEAR ENDED SEPTEMBER 30, 2014. THE LEASE AGREEMENT EXPIRES ON MAY 31, 2019. THE LEASE STATES THAT THE NUMBER OF SQUARE FEET RENTED AND RELATED RENT EXPENSE PAID BY THE SCHOOL MAY BE AMENDED PERIODICALLY THROUGHOUT THE LEASE TERM. THE SCHOOL ENTERED INTO A SUBLEASE AGREEMENT WITH EFEKTA TO LEASE CLASSROOM SPACE IN SAN FRANCISCO, CALIFORNIA. RENT EXPENSE UNDER THE AGREEMENT TOTALED $3,585,033 FOR THE YEAR ENDED SEPTEMBER 30, 2014. THE SUBLEASE AGREEMENT REQUIRES THE SCHOOL TO MAINTAIN A $675,000 LETTER OF CREDIT WITH A BANK. THE SUBLEASE AGREEMENT EXPIRES ON JULY 31, 2020.
