TOWERS WATSON FIRST DETERMINED THAT THE COMPENSATION COMMITTEE FOR THE COLLEGE WAS INDEPENDENT AND FREE FROM CONFLICTS OF INTEREST. THE SECOND STEP DETERMINED THE "DISQUALIFIED PERSONS" AND THE METHODOLOGY USED TO ASSESS REASONABLENESS. THIS ASSESSMENT WAS CONDUCTED AT THE TOTAL REWARDS LEVEL AND INCLUDED ALL COMPENSATION COMPONENTS.
