Explanation
Form 990, Part VI, Line 11b: Form 990 Review Process
The return is prepared in collaboration with the Agencys finance staff and tax preparation firm. The Director of Finance and/or the Chief Financial officer will review the return in detail and submit corrections. Upon satisfactory review by one of these individuals, the return is submitted to the Executive Director for review. Once the Executive Director is satisfied the return is properly reflective of the operations of the Agency, it is submitted to either a committee of the Board or the full board for review. If submitted to a committee of the Board, the return will be submitted to the full board for review prior to filing. By the time the FY 2014 return was ready for Board approval, the Board consisted of only 7 members. As a result, the committee review was deemed not necessary.
Form 990, Part VI, Line 12c: Explanation of Monitoring and Enforcement of Conflicts
Each Board Member shall annually complete the disclosure form and timely update the President and Chair of any changes during the current year. Typically, the Board completes these annual forms in May just before our fiscal year end
Form 990, Part VI, Line 15a: Compensation Review & Approval Process - CEO, Top Management
The Board hired a new Executive Director effective 1/11/13. The Board, using compensation and benefits surveys, assessed the salary of the new Executive Director. Such review is documented in the Board minutes. During 2014, The Board evaluated the ED's compensation and based on all of the above, provided him a raise.Every 3 to 5 years, the Agency conducts a review of salary ranges for all employees. The next review is scheduled for 2015. The survey is conducted by an outside contractor with experience in such matters. The survey was delayed from 2014 to 2015 due to union deliberations which only recently concluded.
Form 990, Part VI, Line 15b: Compensation Review and Approval Process for Officers and Key Employees
The Agency employs approximately 5 M.D's psychiatrists none of which work full time. Average full time equivalent compensation for these positions in similar agencies within the Greater SF Bay Area is just over $200k. The psychiatrists are part of the periodic salary review described above.
