|---|---|
| Form 990, Page 2, Part III, Question 3 | On January 9, 2015, Experience Corps entered into an agreement with AARP Foundation, an affiliate of AARP, Inc. Under the terms of this agreement, Experience Corps agreed that, during 2015, its program would become a program of AARP Foundation. In addition, Experience Corps agreed that its assets and liabilities would be transferred to AARP Foundation, on a date to be determined by the parties. Following this transfer, Experience Corps will cease operations, but will continue to exist as a separate legal entity. Experience Corps's 2015 financial results will be reported as part of AARP Foundation's consolidated financial statements. |
| Form 990, Part VI, Section A, line 4 | ARTICLE II Authority and Duties of Directors Section 2.01 Authority of Directors: The Board of Directors ("the Board") is the policymaking body and may exercise all the powers and authority granted to the Corporation by law. The Board shall oversee the Corporation's operations. Section 2.02 Number of Directors: The Board shall consist of three (3) Directors. Section 2.03 Election and Term of Directors: The members of the Board of Directors of the Corporation shall be the President of AARP Foundation, the Board Chair of AARP Foundation, and the Audit Committee Chair of AARP Foundation. Directors shall serve so long as they hold the stated position within AARP Foundation. Section 2.04 Removal: A Director shall be considered removed from the Board if she or he ceases to hold the stated position within AARP Foundation. |
| Form 990, Part VI, Section B, line 11 | As part of the shared services agreement with AARP, the Form 990 for Experience Corps is prepared and reviewed in AARP's internal tax department and reviewed by Experience Corps' Management, and other internal reviewers. The Form 990 is then provided to the Experience Corps Board of Directors. Once all reviews are complete, the return is electronically filed with the Internal Revenue Service. |
| Form 990, Part VI, Section B, line 12c | Experience Corps monitors and enforces its conflict of interest policy through board of directors and staff orientations; by written disclosures by Board of Directors and staff; and by requesting for and reporting in meeting minutes any disclosure of real or potential conflicts related to board resolutions so that appropriate steps can be taken, for example, recusal from such decisions. |
| Form 990, Part VI, Section B, line 15 | Through its shared services agreement with AARP, Experience Corps participates in AARP's enterprise-wide compensation reviews. AARP has a competitive position in the marketplace that considers relevant for-profit and not-for-profit data since this is the landscape in which AARP and its affiliates compete for talent. Establishing the appropriate compensation for positions and jobs considers external market pricing (where possible) from an independent, third party compensation consulting firm, internal criteria, and an individual's actual performance and contribution. Internal criteria is based on a standard approach that measures the internal value of positions, including: complexity and scope of responsibility, skill set and competencies, education and experience, and the reporting relationship of the position. An individual's actual performance and contribution is measured through AARP's performance management approach and then rewarded through AARP's annual base pay merit and incentive award programs. This process applies to all employees of Experience Corps. |
| Form 990, Part VI, Section C, line 19 | Experience Corps makes its audited financial statements available for public inspection on its website and upon request to AARP Foundation's Office of the CFO. Experience Corps makes its Form 990 available for public inspection on its website and upon request to AARP Foundation's Office of the CFO. |
| Form 990, Page 12, Part XI, Question 2c | AARP Foundation oversaw the 2014 external audit and issuance of financial statements for Experience Corps. |
| Part VII, Sec A, Officers, Key Employees, and Highest Compensated Employees | Experience Corps has a standard 40 hour work week and are the average hours disclosed on Form 990. Officers, key employees, and highest compensated employees often work in excess of that amount. |
