THE VOTE BY THE COMMITTEE WILL BE RECORDED IN THE MEETING MINUTES, INCLUDING THE AMOUNTS AUTHORIZED AND REFERENCES TO THE COMPARISON INFORMATION. ANY COMPENSATION OPINIONS PROVIDED TO THE BOARD WILL BE KEPT WITH THE HUMAN RESOURCE COMMITTEE RECORDS. FOR VACANT POSITIONS, THE HUMAN RESOURCE COMMITTEE (OR A SUBCOMMITTEE) WILL APPROVE THE SALARY LEVEL PRIOR TO THE JOB OFFER BEING MADE TO A POTENTIAL NEW SENIOR STAFF MEMBER. IF A SEARCH IS TO BE MADE TO FILL A VACANT SENIOR STAFF POSITION, BOARD MEMBERS AND THE DIRECTOR DISCUSS AND DECIDE WHICH FIRM TO ENGAGE TO CONDUCT THE SEARCH.
