| Form 990, Part VI, Line 2: Description of Business or Family Relationship of Officers, Directors, Et | EFC Board member Raymond Bayer, Jr., is the Executive Director and CEO of MOHELA, a nonprofit student loan servicing organization and a prime contractor for the U.S. Department of Education for the servicing of Federal Direct Student Loans. The following organizations, whose chief executives also served on the EFC Board of Directors for some part of 2014, have a licensing agreement with MOHELA as subcontractors under MOHELA's prime contract with the U.S. Department of Education. As a result of these agreements, these organizations receive royalties from MOHELA. -EFC Board member James Stipcich, President and CEO of the Student Assistance Foundation. -EFC Board member Joseph Wood, President of Indiana Secondary Market for Education Loans, Inc. -EFC Board member Diane Barrans, Executive Officer of Alaska Student Loan Corporation. -EFC Board member Christopher Chapman, President and CEO of Access Group, Inc. -EFC ex-officio Board member Chuck Sanders, President and CEO of South Carolina Student Loan Corporation -EFC Board member Eugene Hutchins, Chief Financial Officer of New Jersey Higher Education Student Assistance Authority -EFC Board member Patricia Beard, CEO of COSTEPEFC Board member Steven McCullough is the President of Aspire Resources, Inc. and the President and CEO of Iowa State Loan Liquidity Corporation. Aspire Resources, Inc. (Aspire) is a prime contractor for the U.S. Department of Education for the servicing of Federal Direct Student Loans. Aspire also provides private education loan servicing and leases its Student Loan Game Plan software. The following organizations, whose chief executives are also EFC Board members, have a business relationship with Aspire. -EFC Board member Noel Simpson is the Deputy Director and Chief Financial Officer of Rhode Island Student Loan Authority (RISLA). RISLA is a subcontrator under Aspire's prime contract with the U.S. Department of Education for the servicing of Federal Direct Student Loans. As a result of this agreement, RISLA receives contract payments and royalties from Aspire. -EFC Board member Joseph Wood, is the President of the Indiana Secondary Markey for Education Loans, Inc. (ISM). ISM has a contract with Aspire to service ISM's private education loans; in addition Aspire leases its Student Loan Game Plan software to ISM. -EFC Board member Diane Barrans is the Executive Office of Alaska Student Loan Corporation (ASLC). Aspire leases its Student Loan Game Plan Software to ASLC. -EFC Board member Eugene Hutchins is the Chief Financial officer of the New Jersey Education Student Assistance Authority (NJHESAA). Aspire leases its Student Loan Game Plan software to NJHESAA. -EFC Board member Darren Hurlburt is the President and CEO of Maine Education Services (MES). Aspire leases its Student Loan Game Plan software to MES. |

The Board provides an annual review of and adjustment of the President's base salary as well as any potential performance based bonus based on reviewing established cirtieria for deteriming the success of the president. |

This manual as well as the Form 990, the EFC Annual Financial Review, and the in-house quarterly financial statements are available on the EFC website for voting members, directors and staff to access. The Corporate Governance Manual and the EFC Financials are available upon request to affiliate members but are not available to the public. The Form 990 is available to the public upon request. |
