Background ========== On May 1, 2014, Kimball Medical Center ("KMC"), a nonprofit corporation, merged with and into Monmouth Medical Center ("MMC"), also a nonprofit corporation, so that the two facilities would be under common ownership to better coordinate health delivery for a shared service area. The separate existence of KMC ceased and MMC continues as the "surviving corporation." Barnabas Health, Inc., continues to be the sole member (i.e. owner) of MMC following the Merger. MMC, as the surviving corporation, operates two separately licensed hospital facilities, Monmouth Medical Center, located in Long Branch, NJ and the former KMC facility, which now operates under its new name, "Monmouth Medical Center Southern Campus". Monmouth Medical Center Southern Campus ("MMCSC"), is a general medical and surgical hospital campus of MMC, which is recognized by the IRS as an internal revenue code section 501(c)(3) tax-exempt organization. Pursuant to its charitable purposes, MMCSC provides medically necessary healthcare services to all individuals in a non-discriminatory manner regardless of race, color, creed, sex, national origin, religion or ability to pay. Moreover, MMCSC operates consistently with the following criteria outlined in IRS revenue ruling 69-545: 1. MMCSC provides medically necessary healthcare services to all individuals regardless of ability to pay, including charity care, self-pay, Medicare and Medicaid patients; 2. MMCSC operates an active emergency department for all persons and is open 24 hours a day, 7 days a week, 365 days per year; 3. MMCSC maintains an open medical staff, with privileges available to all qualified physicians; 4. Control of MMCSC rests with its Board of Trustees, the Board of Trustees of MMC and of Barnabas Health, Inc. All the boards are comprised of independent civic leaders and other prominent members of the community; and 5. Surplus funds are used to improve the quality of patient care, expand and renovate facilities and advance medical care, programs and activities. The operations of MMCSC, as shown through the factors outlined above and other information contained herein, clearly demonstrate that the hospital provides substantial community benefit and that the use and control of MMCSC is for the benefit of the public and that no part of the income or net earnings of the organization inures to the benefit of any private individual nor is any private interest being served other than incidentally. As noted above, MMC's sole corporate member is Barnabas Health, Inc. ("BH"), a tax-exempt New Jersey non-profit parent corporation. BH is a tax-exempt integrated healthcare delivery system consisting of a group of affiliated healthcare organizations. This integrated network of healthcare providers throughout the state of New Jersey provides substantial community benefit. The sole member or stockholder of each entity is either BH or another BH affiliate controlled or owned by BH. MMC, like its corporate parent, is a not-for-profit organization. BH is the largest multi-hospital system in New Jersey and provides substantial community benefit. BH consists of free-standing acute care hospitals, a free-standing psychiatric hospital, Medicare-certified home healthcare and hospice programs, multi-specialty ambulatory care facilities, primary care centers, outpatient behavioral health centers, and other entities. BH provides medically necessary healthcare services to all individuals regardless of ability to pay. Moreover, BH provides healthcare services to patients who meet certain criteria defined by the New Jersey Department of Health without charge or at amounts less than established rates. BH maintains records to identify and monitor the amount of charity care it provides. These records include the amount of charges foregone for services and supplies furnished under its charity care policy. Hospital Statistical Information ================================ MMCSC is a 285-bed fully accredited non-profit acute care hospital dedicated to providing the finest medical and healthcare services to the residents of Ocean County and the surrounding areas. MMCSC is located in Lakewood, Ocean County, New Jersey. MMCSC serves a diverse urban population including a proportionately higher mix of elderly and uninsured/underinsured communities. During 2014, MMCSC serviced nearly 6,500 inpatients, 38,000 emergency visits and nearly 50,000 outpatient visits. The Leapfrog Group Hospital Safety Score program grades hospitals on their overall performance in keeping patients safe from preventable harm and medical errors. - Designated primary stroke center by the New Jersey Department of Health. - Joint Commission accredited for hospital and behavioral healthcare. - Granted a three-year term of accreditation in the area of adult transesophageal and adult transthoracic by the Intersocietal Commission for the Accreditation of Echocardiography Laboratories (ICAEL) - Re-certification in 2014. - Received disease-specific care re-certification (2013) in Heart Failure from the Joint Commission. MMCSC's Pediatric Emergency Services program allows children with urgent medical illnesses to receive the immediate specialty care they require from emergency medicine physicians, with in-house board-certified neonatologist and pediatrician consultation 24 hours a day, 7 days a week. The Pediatric Emergency Services program offers a child-friendly environment with the highest level of pediatric emergency medical care for newborns to adolescents. Every aspect of MMCSC's emergency department has been designed to provide the ultimate in efficiency and comfort for patients and their families, while offering the highest quality medical care. This has led to numerous recognitions and awards for patient satisfaction and quality medical care, including exceptional turnaround time. 2. The Center for Wound Healing Every year, chronic wounds caused by diabetes, poor circulation and related conditions keep three to five million Americans from enjoying life. The Center for Wound Healing and hyperbaric medicine applies proven wound care practices and advanced clinical approaches including hyperbaric oxygen therapy (HBOT) to help heal patients suffering from chronic wounds. Additionally, our center frequently participates in clinical trials utilizing the latest wound care products available. 3. MMCSC operates the following centers designed to promote health and health awareness for the community. - The Center for Healthy Living offers an array of programs designed to keep the community healthy through education and screenings. Among its award winning programs is the Caregivers Education & Support Group facilitated by a licensed clinical social worker to provide counseling and support to anyone caring for a person age 60 or older in Ocean County. The center also offers an American Diabetes Association recognized diabetes education and support program which is designed for newly diagnosed diabetes and provides self-management education through a 9-hour program which is divided into three separate 3-hour classes. Participants in all of the programs at the Center for Healthy Living experience enhanced physical, emotional and spiritual healing through individual and group programs in an environment where they can join with others to learn and share experiences, strength and hope. Popular programs at the Center for Healthy Living include yoga and self-defense. - The Center for Healthy Aging addresses the unique needs of the region's aging population by offering healthcare programs that promote healthy lifestyles and enhance seniors' quality of life. The Center for Healthy Aging offers a variety of unique services dedicated to improving the health and well-being of seniors, including providing them with access to health coaches. These healthcare professionals act as liaisons, assisting seniors with talking to their doctors or finding a physician; scheduling appointments and arranging transportation; and navigating through the MMCSC health system to ensure they receive the best, most comprehensive care possible. The goal of the Center for Healthy Aging is to provide older adults with easy and convenient access to a variety of healthcare services in their own community and to encourage them to live independently, confidently and happily.
