Part X, Line 2:	The Organization is organized as a North Dakota nonprofit corporation and has been recognized by the Internal Revenue Service (IRS) as exempt from federal income taxes under Section 501(a) of the Internal Revenue Code as organizations described in Section 501(c)(6). The activities are primarily to promote the industry as a whole and not designed to provide particular services to members. The Organization is annually required to file a Return of Organization Exempt from Income Tax (Form 990) with the IRS. In addition, the organization is subject to income tax on net income that is derived from business activities that are unrelated to their exempt purposes. The Organization has determined it is not subject to unrelated business income tax and has not filed an Exempt Organization Business Income Tax Return (Form 990-T) with the IRS. The Organization believes that it has appropriate support for any tax positions taken affecting its annual filing requirements, and as such, does not have any uncertain tax positions that are material to the financial statements. The Organization would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are incurred. The Organization is no longer subject to Federal and state tax examinations by tax authorities for years before 2011.

Form 990, Part VI, Section A, line 1	There is an Executive Committee comprised of the Governor, President, Vice President, and Treasurer. The committee will meet as the need arises and upon call of the President. The purpose of the committee is to conduct the business of the chapter between meetings of the Board of Directors.
Form 990, Part VI, Section A, line 6	The Organization has only one class which consists of member contractors.
Form 990, Part VI, Section A, line 7a	The member contractors elect members to the governing board.
Form 990, Part VI, Section A, line 7b	Changes to the bylaws require approval of 2/3rds of the members.
Form 990, Part VI, Section B, line 11	The Executive Director and the Accounting Manager will review a draft of the Form 990. In addition, a copy of the 990 will be e-mailed to all board members for approval prior to e-filing.

The board members, with the help of the consultant, determined a reasonable compensation for the Executive Director.
