IS A FLORIDA CORPORATION THAT SERVES AS A TITLE HOLDING COMPANY FOR THE BENEFIT OF ITS SHAREHOLDER, THE HONEYWELL INTERNATIONAL, INC., MASTER PENSION TRUST (THE "MASTER TRUST"). THE MASTER TRUST IS A PART OF ONE OR MORE QUALIFIED PLANS WITHIN THE MEANING SECTION 401(A) OF THE INTERNAL REVENUE CODE OF 1986 AS AMENDED (THE CODE), AND IS EXEMPT FROM FEDERAL INCOME TAXATION UNDER CODE SECTION 501(A). ALLIED/H-INNS, INC. WAS ORGANIZED FOR THE EXCLUSIVE PURPOSE OF HOLDING TITLE TO THE PROPERTY, COLLECTING INCOME THEREFROM, AND DISTRIBUTING RESIDUAL INCOME TO ITS SOLE SHAREHOLDER, THE MASTER TRUST.
