Form 990, Part VI, Section B, Line 12c:	It is Rexam policy that employees and others acting on Rexam's behalf must be free from conflicts of interest that could adversely influence their judgment, objectivity or loyalty to the company in conducting Rexam business activities and assignments. The company recognizes that employees may take part in legitimate financial, business, charitable and other activities outside their Rexam jobs, but any potential conflict of interest raised by those activities must be disclosed promptly to management. All members of the Rexam Pension and Benefit Committee take an annual on-line course verifying the employee's understanding of Conflict of Interest and appropriate action should an issue occur. This Committee provides oversight to the on-going processing of the SUB payroll, the related accounting, preparation of the financial statements, Form 990, along with nominating and appointing Northern Trust as the independent Trustee.
