Form 990, Part VI, Section A, line 3	Management duties are performed by staff of the American Bar Association. The Organization pays a small fee for staffing. Due to the relationship between the ABA and the Bar Association constituency served by the Organization, the fee is not commensurate with services provided.
Form 990, Part VI, Section A, line 4	The Board amended the bylaws, effective February 6, 2014, to change the terms of office. The President-Elect, Vice President and Secretary terms shall be one year commencing July 1 following their election. The Treasurer term shall be two years commencing July 1 following his/her election. Also, the Vice President must have served at least one year on the Board of Directors prior to taking office as Vice President. With respect to vacancy and succession, the bylaws were amended, also effective February 6, 2014, to state that an eligible member selected by the Board of Directors for filling a vacancy shall hold office through June 30, or until a successor is elected or appointed and qualified.
Form 990, Part VI, Section A, line 6	The Association has a membership consisting of individuals employed by bar associations, individuals who have been employed by a bar association but who currently are not employed by a bar association or related organization, and individuals who are employed by bar related organizations.
Form 990, Part VI, Section A, line 7a	Board of Directors shall be elected by the membership.
