Explanation
Form 990, Part VI, Section A, Line 6
The organization is a Pennsylvania non-profit, non-stock corporation that has three members. The members are those persons who, from time to time, hold the following offices: the Archbishop of Philadelphia, the Moderator of the Curia for the Archdiocese and the Vicar for Clergy of the Archdiocese of Philadelphia.
Form 990, Part VI, Section A, Line 7a
The members of the organization have the power to appoint the members of the organization's board and will fill vacancies on the board. Decisions of the organization's governing body, such as the decision to dissolve, merge and make fundamental changes involving the organization are, as stated in the organization's by-laws, subject to the approval of the organization's members.
Form 990, Part VI, Section A, Line 7b
Please see explanation for Part VI, Section A, Line 7a.
Form 990, Part VI, Section B, Line 11b
The Form 990 is reviewed by the Executive Director and members of the Board of Directors prior to its submission.
Form 990, Part VI, Section B, Line 12c
The organization regularly and consistently monitors and enforces conflicts with its Conflict of Interest Policy by: distributing the policy annually to all required to report conflicts pursuant to the policy: requiring those persons to complete the report and file it with the organization; acknowledge receipt of the completed policy report and report any actual or potential conflict of interest independent of the organization's conflict of interest reporting form. The conflict of interest policy imposes upon those persons subject to the policy an ongoing obligation to disclose any actual or potential conflict of interest.
Form 990, Part VI, Section B, Line 15
Annually the Finance Committee reviews the compensation for reasonableness. Each person's annual increase is the same percentage given to all positions. In addition, a market rate adjustment, if warranted, is approved as part of the annual budget process. Any increase above the approved percentage is considered an exception subject to approval by one of the organization's members-the Moderator of the Curia for the Archdiocese of Philadelphia. The Moderator of the Curia also determines the salaries of key employees.
Form 990, Part VI, Section C, Line 19
The organization's Articles of Incorporation are available to the public via the PA Department of State's website. Financial information for the organization is made available to the public via the Form 990 which includes Schedule D. The organization's Form 990 is available on the GuideStar website.
Form 990, Part IX, Line 24e

Explanation:
Our audit for 2013-2014 was not issued until December 15, 2014 due to a change in personnel by our accounting firm. With the delay that this caused, I forgot to send in an Application for Extension (8868) for additional time to prepare the 990. In the past, NDS has filed for double extensions to assure an accurate report. When I realized that the extension was late, I tried to file it, but it was rejected. I was advised in light of this oversight that the 990 form be filed as soon as possible.
