Form 990, Part VI, Line 12c: Explanation of Monitoring and Enforcement of Conflicts
Conflict of Interest Statement for Board Members:General Principles1.Each ELCFH Board member must place the interest of the ELCFH foremost in any dealings impacting the ELCFH.2.Each Board member shall disclose to the ELCFH any personal interest that he or she may have in any matter pending before the ELCFH Board, or any matter that may affect the welfare of the ELCFH organization, and shall refrain from participation in any decision on such matter. A conflicted board member may not be counted in determining a quorum for the meeting in connection with the conflicted matter.3.No Board member shall derive any personal profit or gain for themselves, their relatives or friends, directly or indirectly, by reason of his or her participation with the ELCFH except as otherwise agreed to by three quarters of the voting members of the Board.4.Each year, ELCFH Board members will submit an annual statement, agreeing to these General Principles and disclosing any potential conflicts. If a potential conflict arises during the year, it is a member's responsibility to report it to the Board Chair or Executive Director, who will attempt to resolve any actual or potential conflict(s) and, in the absence of resolution, refer the matter to the Executive Committee or ELCFH Board.At this time, I am a Board member, a committee member, or an employee of the following organizations:Now this is to certify that I, except as described below, am not now nor at any time during the past year have been:1)A participant, directly or indirectly, in any arrangement, agreement, investment, or other activity with any vendor, supplier, or other party; doing business with the ELCFH which has resulted or could result in personal benefit to me.2)A recipient, directly or indirectly, of any salary payments or loans or gifts of any kind or any free service or discounts or other fees from or on behalf of any person or organization engaged in any transaction with the ELCFH.Any exception to 1 or 2 above are stated below with a full description of the transactions and of the interest, whether direct or indirect, which I have (or have had during the past year) in the persons or organizations having transactions with the ELCFH.Conflict of Interest Statement for Employees:Employees wishing to engage in other employment outside their respective positions must ensure that such other employment does not interfere with their ability and availability to perform Coalition duties, including overtime requirements. Employees must ensure that equipment, facilities, or property of the Coalition shall not be used by employees for outside employmentPrior to accepting or engaging in outside employment, the employee shall submit a written request for approval to their supervisor, appropriate Associate Director, or Associate Director-Operations. Approval will be based on possible conflict of interest, any interference with the employee's ability to perform their Coalition duties, and interference with their regular working hours. Activity related to outside employment may not take place during the employee's regular hours. Approval may later be withdrawn if it is believed to be in the best interests of the Coalition. Refusal to comply with a request to discontinue outside employment may result in termination of employment with the Coalition.
Form 990, Part VI, Line 15b: Compensation Review and Approval Process for Officers and Key Employees
a.The Executive Director is reviewed annually by the ELCFH Board of Directors. At that time, compensation is reviewed (not to exceed a 5% increase as stated in ELCFH employee policy) and the Executive Director contract is reviewed for the upcoming year. The Executive Director salary is compared to other like position salaries every three years. b.All ELCFH employees are reviewed annually using the approved ELCFH Employee Performance Review tool. Increases are determined based on the average score from the completed tool (not to exceed 5%). A comparison study of salaries is completed every three years to ensure equity of salary.
