Part X : FIN48 Footnote	Income Tax Status:International Brotherhood of Teamsters Local Union No. 455 is exempt from federal income taxes under section 501(c)(5) of the Internal Revenue Code and, therefore, has made no provision for federal income taxes in the accompanying financial statements. According to Internal Revenue Code section 514(c)(7), unrelated debt-financed income is income from debt-financed property which is held to produce income and with respect to which there is acquisition indebtedness. Therefore, under section 514, income derived from the property will be taxed as unrelated business income. During the years ended December 31, 2014 and 2013, the Local Union recognized no income tax related interest or penalties.The Local Union accounts for tax positions in accordance with FASB Accounting Standards Codification Topic 740, Income Taxes. With few exceptions, the Local Union is subject to federal and state income tax examinations by tax authorities for the prior three years. Management has reviewed the Local Union's tax positions and determined there were no uncertain tax positions as of December 31, 2014 and 2013.

Form 990, Part VI, Line 6: Explanation of Classes of Members or Shareholder	Teamsters Local Union No. 455 is the bargaining representative of the employees covered by collective bargaining agreements. Eligibility to membership in this Local Union is according to the International Constitution, and applicants for membership must comply with and be subject to requirements imposed by Teamsters Local Union No. 455's By-Laws and the International Constitution.
Form 990, Part VI, Line 7a: How Members or Shareholders Elect Governing Body	Local Union elects it officers by secret mail ballot not less often than once every three years. Every member whose dues are paid up through the month which is prior to the month in which the nominations or election is held shall have the right to nominate, vote for, or otherwise support the candidate of his choice. No member whose dues have been withheld by his employer for payment to the local union pursuant to this voluntary authorization provided for in a collective bargaining agreement shall be declared ineligible to nominate, or vote for, a candidate for office in the Local Union, by reason of a delay or default in the payment of dues by the employer to the Local Union.
Form 990, Part VI, Line 7b: Describe Decisions of Governing Body Approval by Members or Shareholders	The following Executive Board decisions are approved by the membership: Purchases, Lease agreements, purchase of all real estate or other real property, and purchases of equipment, requires specific authorization at a membership meeting for such expenditures, except for routine expenditures not of a substantial nature. Disposals: Sell or dispose of any real estate property, rights or privileges belonging to the local union whenever in its opinion the Local Union's interest would thereby be promoted, subject to approval at a membership meeting. Debt Financing: Create issues and make deed, mortgages, trust agreements, contracts, and negotiable instruments secured by mortgage or otherwise as provided by resolution of the membership. Mergers: In the event the Executive Board of two or more subordinate bodies agrees to merge, the merging Local Union must conduct a vote of its membership to approve the merger proposal and ratify the merger agreement. Other: Create trust, the primary purpose of which is to provide benefits for members or their beneficiaries, and terminate and effectuate the same, all subject to approval (except as to form) by the membership.
Form 990, Part VI, Line 11b: Form 990 Review Process	Form 990 will be completed annually and copies will be provided to the Executive Board, no later than the first Tuesday in June for approval. At that time the Board would review the Form 990 with the Local Union's auditor. Any necessary changes will then be updated on the form. Once necessary changes are made and the finished Form 990 is approved, it will be signed by the Principal Officer, dated and submitted by the filing deadline.
Form 990, Part VI, Line 12c: Explanation of Monitoring and Enforcement of Conflicts	The Local Union's Trustees conduct a monthly examination of the books of the Local Union and initial each transaction that is found to be correct. In the event that a Trustee notes any transaction not properly authorized, it is brought to the Executive Board's attention and actions are promptly made.
Form 990, Part VI, Line 15b: Compensation Review and Approval Process for Officers and Key Employees	The policies for officers' wages and allowances are revised annually and are brought up for the Local Union membership approval.
Form 990, Part VI, Line 19: Other Organization Documents Publicly Available	The International Constitution and the Local Union's By-Laws and Policy Book are readily available upon request. The members are presented with the monthly financial statements at the general membership meeting.
