These members are entitled to have (1) vote on all matters relating to the Association. The Association's sole purpose is to elect the board of directors of the Foundation. The Chairman of the Association chooses 5 members to serve on a nominating committee to choose a slate of persons, 2 times the number of board members to be elected. The entire Association membership then elects the board of directors for the Foundation. Prior to May 2013 the Board of Directors was comprised of nine members of the Organization, elected by the members as described above. The Articles of Association were amended in May 2013 to allow up to 4 appointed members of the Board of Directors in addition to the nine elected members of the Board of Directors. Each new appointed board member requires the approval of six of nine elected members. The school year 2014-2015 eleven member board of directors was comprised of nine members elected by the Association plus two members appointed by the board. |
