| PART III - LINE 1 | The 100 WOMEN IN HEDGE FUNDS Association (THE "ASSOCIATION") was established to serve as a membership association of professional women who have built financial services careers in and around the hedge fund industry. The Association's mission is to advance a positive image of the alternative investment industry, providing peer mentoring, educational and career development opportunities for members, promoting personal and professional advancement, and cultivating opportunities to enhance the lives of women and children around the world through philanthropic endeavors. The Association's members are actively involved in participating in the 100 WOMEN IN HEDGE FUNDS Foundation's (THE "fOUNDATION") annual gala event and contributing funds to the Foundation to be granted to charitable organizations that enhance the lives of women and children. The Association was formed with an initial goal of forming a professional community to teach women to better leverage their collective relationships and improve communication within the alternative investment industry. Within the first few months of formation, the growing membership identified three areas where their efforts could promote meaningful change. Those three areas became the Associations three pillars: education, professional leverage, and philanthropy. Today, the Association boasts more than 13,000 members in 20 locations across three continents. Ten years after its founding, the organization still strives to meet its core mission: to make a difference in both industry and community through its three pillars of unique educational programming, professional leverage initiatives, and philanthropy. The Association has created a number of ways in which members can effectively share and "leverage" experiences, wisdom, and insight with their industry peers. Peer Advisory Groups enable senior members to leverage their experiences and resources. Our Women on Boards initiative is a direct result of discussions with our members and also a reflection of our Industry's growing efforts to include more women on Corporate/For-Profit and Non-profit Boards, consistent with their Board-relevant expertise and professional experience. |

ALL BOARD MEMBERS REVIEW THE FORM 990 AND PROVIDE APPROVAL VIA E-MAIL. PART VI, SECTION B - LINE 12C EACH YEAR AT THE SAME TIME OF THE BENEFICIARY SELECTION PROCESS, THE ASSOCIATION BOARD IS ASKED TO DISCLOSE ANY FINANCIAL OR OTHER CONFLICT OF INTEREST THAT MIGHT EXIST - BOTH IN TERMS OF THE BENEFICIARY SELECTED, AND OTHER EXPENSES RELATED TO THE FOUNDATION'S GALA. ALL MEMBERS OF THE BOARD OF DIRECTORS MUST SIGN THE CONFLICT OF INTEREST POLICY AT THE TIME THEY BECOME A BOARD MEMBER. Part VI, Section B - Line 15A The Board of Directors shall evaluate the level of compensation and benefits being paid to the Chief Executive Officerr based upon her duties and responsibilities, the manner in which she is carrying out those duties and responsibilities, the compensation being paid to individuals in comparable positions at similar institutions in the same georgraphical area, and any other factors which the Board of Directors deems to be relevant with respect to the compansation payable to executives. |
