| Form 990, Part VI, Line 4: Description of Significant Changes to Organizational Documents | The bylaws were amended during the year to revise the role of the standing committees of the Club as follows:Article VIIIA. Standing CommitteesSection 1. The President shall appoint the following standing committees: 1. Grounds Committee; 2. Mens and Womens Golf Committees; 3. Finance Committee. The President may appoint such committees for the year beginning June 1 of each year as soon as practicable after election.The President may appoint the following committees: 1. House Committee, 2. Membership Committee, 3. Entertainment Committee, 4. Swimming Pool Committee, 5. Tennis Committee, 6. By-laws Committee; or any other special committee deemed necessary.Section 2. The Grounds Committee shall work with the Course Superintendent and General Manager on issues related to the care, maintenance and improvements of the golf course and grounds equipment building (but not the operation of the golf course) Any significant changes to the golf course will require prior approval of the Board of Directors. It shall also work with the General Manager on issues related to the maintenance and repair of the machinery building, the drive, walks, fences and other property of the Club exclusive of the buildings other than the machinery building.Section 3. The Mens and Womens Golf Committees shall work with the General Manager and the Golf Professional to arrange golf tournaments, make and enforce all rules of play for use and care of the golf course.Section 4. Finance Committe shall work with the General Manger to annually develop a proposed budget for the ensuing fiscal year, subject to approval of the Board of Directors. The approved budget will thereafter be monitored by the committee, subject to instructions by the Board of Directors.Section 5. If the President appoints a House Committee, it shall work with the General Manager on any issues relating to the operation and maintenance and repair of all Club building and swimming pool (except the operation of the Pro Shop and grounds equipment buildings). It shall receive and consider all complaints to it, and shall report promptly in writing to the General Manager and Board of Directors all infractions of the By-laws and house rules by Members of the Club or their guests.Section 6. If the President appoints a Membership Committee, unless otherwise directed by the President or the Board of Directors, its purpose shall be for the recruitment and retention of Members.Section 7. If the President appoints an Entertainment Committee, it shall work with the General Manager on all issues related to planning and conducting social events of the Club.Section 8. If the President appoints a Swimming Pool Committee, it shall work with the General Manager in connection with issues related to the operation of the swimming pool and the personnel and facilities connected therewith, and shall suggest rules to the Board for the use and operation thereof.Section 9. If the President appoints a Tennis Committee, it shall work with the General Manager and Tennis Professional to oversee operations of the tennis courts and programs.Section 10. If the President appoints a By-Laws and Rules Committee, it shall work with the General Manager and Board of Directors to review the By-Laws and rules and report on any recommended changes at the annual meeting.The following was also revised:Article IXA. | Form 990, Part VI, Line 6: Explanation of Classes of Members or Shareholder | Jefferson City Country Club serves 384 members. The membership is broken down into several categories.Following you will find member categories, brief description and the number of members that fall into that category.a. Regular Member - 269A Regular Member is a person who has attained the age of twenty-one years and pays full dues b. Junior Member - 37A Junior Member is a person who is less than 40 years of age and has elected to become a Junior Member rather than a Regular Member. After reaching age 40, all Junior Members shall become Regular Members. A Junior Member shall not have the right to vote in club matters.c. Legacy Member - 3A Legacy Member is a child, stepchild or grandchild of a dues paying member who has not reached 40 years of age. After reaching age 40 and complying with other membership requirements, all Legacy Members shall become Regular members. A Legacy Member shall not have the right to vote in Club matters. d. Honorary Member - 2An Honorary Member is a person who may be named to that category in the discretion of the Board of Directors.e. Senior Member - 44A Senior Member is one who is not less than 65 years of age and has been a Regular Member for at least 20 years. A Senior Member shall have all privileges of a Regular Member except a Senior Member shall not have the right to vote and shall not be required to pay regular or special assessments. A Regular Member who qualifies for Senior membership shall make written application to the Board of Directors for admission to that category. A Regular Member may remain in that category if such member does not so elect to become a Senior Member.f. Emeritus Member - 10An Emeritus Member is a person 80 years of age or older who has been a member or senior member for 20 or more years, and approved for such Emeritus Membership by the Board of Directors. An Emeritus Member shall not have membership privileges for use of the golf course but shall have membership privileges in the house and dining rooms. An Emeritus Member shall not have voting privileges. An Emeritus Member shall not pay dues, minimums, or assessments. Upon the death of an Emeritus Member, the Board of Directors, in its discretion, may allow the surviving spouse of such deceased Emeritus Member to fill the Emeritus Membership of such deceased Emeritus Member.g. Surviving Spouse - 19A Surviving Spouse Member is one who is either: 1) an unmarried widow or widower of a former Regular Member or Senior Member; or 2) the spouse of a Regular Member or Senior member who has been determined by the Board of Directors to be permanently or totally disabled. Number of MembersThere shall be no more than 3 Honorary Members, 335 Regular, Junior or Legacy Members, 50 Senior Members, and 10 Emeritus Members. The Board of Directors shall adopt a case-by-case policy when present Regular Members seek to become Senior Members. Primary consideration will be given to maintaining a maximum of Regular Members before a Regular Member can be admitted to the Senior Member Category. The Board of Directors may at any time limit the number of Regular, Junior, Legacy or Senior members in each of the other categories of membership, provided that any such limitation shall not deprive any such existing member of his or her membership. Any such limitation shall be ratified at the subsequent Annual Meeting. |
