In May, 2014, the Organization's Board of Directors approved Fourth Amended and Restated By-Laws. Several minor changes were made, including: (1) exemption of ex-officio Directors from three-year term limits, (2) consolidation of membership classes from Individual and Organizational members to a single class, (3) limitation of authority to enact and amend the Organization's By-Laws to the Board of Directors, (4) addition of the Finance Committee as a Standing Committee of the Board, and (5) clarification of financial controls and governance processes.

Per the articles of incorporation, the sole member of 211 Maine, Inc. is United Way, Inc., dba United Way of Greater Portland. The sole member shall have the right to appoint additional or substitute members and shall have the right to appoint the directors of 211 Maine, Inc. for such terms as specified by the member or members, and shall have the right to remove directors, with or without cause, at any time.

The Form 990 is prepared by an independent accounting firm and thoroughly reviewed by the Chief Operating Officer and Vice President of Finance of United Way, Inc. prior to review and approval by the President and Board of Directors. In October 2011, 211 Maine instituted a policy whereby, annually, each board member discloses, in writing, to the best of his or her knowledge, any potential conflicts of interest that involve the individual, his or her immediate relatives, or any entity with which he or she is associated in a significant leadership or ownership capacity. These disclosures are updated annually, or sooner if changed circumstances in a particular case may warrant. Any potential conflicts will be dealt with to ensure compliance.

211 Maine, Inc. has no employees. The Treasurer/Secretary of 211 Maine, Suzanne McCormick, was also the president of United Way, Inc. (dba United Way of Greater Portland), a related organization. The process of determining the compensation package of the president of United Way, Inc. includes all elements noted: review and approval by independent board members, comparability data, and contemporaneous substantiation of the deliberation and decision by a board member present in the executive session where compensation is determined. However, during the fiscal year covered by this Form 990, the president of United Way of Greater Portland resigned from the organization effective after the close of the fiscal year. Therefore, the process was not conducted as there was no compensation to be determined for the outgoing president and the new president did not begin until January 2015.
