| Changes to governing documents Part V line 34 | Section 3.1 Membership expanded to be open to all businesses, organizations and individuals investing/supporting the Mission and there will now only be one class of members, classified into four types of membership.Section 3.2 The Coalition will have 4 types of membership: (A) Stakeholder Members. (B) Association Members. (C) Industry Members & (D) Academia, Not-for-Profit, Interested Individual Members. Membership in the Coalition is voluntary, and a member may terminate membership at any time and for any reason. In addition, a member may be removed by a majority vote of the Board of Directors upon a determination that removal of the member is in the best interest of the Coalition. Section 4.1 Management - The business and affairs of the Coalition shall be directed, controlled, and managed by the Executive Committee subject to the approval of the Board of Directors.Section 4.2 The Board of Directors is responsible for overall policy and direction, The Board shall manage all of the affairs, property and funds, and shall have the duty and authority to do and perform all acts consistent with the Bylaws. Section 6.1 The Board of Directors may establish committees as deemed necessary by appropriate resolution. The Chairman shall appoint all Committee chairs. Section 6.2 The Executive Committee. The Executive Committee shall consist of at least the Chairman, Vice Chairman, Secretary, and Treasurer of the Coalition. The Executive Committee shall also include the prior Chairman of the Coalition, all Officers of the Coalition, and the chairs of active committees who are not elected Officers of the Coalition. The Executive Committee shall include at least one member of a public agency. The Executive Committee may create other committees as needed. The Executive Committee may also seek out relationships with non-member strategic allies who support the Mission of the Coalition. Section 7.1 Advisory Boards The Executive Committee was added to the Board as a group who can seek out members for an advisory board. Section 10 Resignation and termination: Members of the Board of Directors may be removed, with or without cause, at any annual, regular or special meeting of the Board of Directors by a three-fourths (3/4) vote of the Board of Directors. |
