Explanation:

In the early part of 2014, the Chamber engaged the services of a volunteer Chamber member to prepare timely the organization's annual return. The Chamber had no employees other than office staff responsible for member support and relied on a volunteer Board of Directors to oversee its financial management. The staff member responsible for pulling together financial records and providing them to the volunteer Chamber member to prepare the organization's annual return terminated her employment at about this time. There was no contingency plan to cover this person's knowledge and responsibilities at the time. The President of the Board became gravely ill and was unable to comprehensively oversee the annual return preparation. The member engaged to volunteer time to prepare the return lost track of the filing. Because the organization's revenues did not meet the thresholds requiring a 990 or 990-EZ, in reality it only had to submit a 990N (the "postcard"). The Board was not made aware of this fact by the member volunteering to prepare the return. By the beginning of 2015, the Chamber had a new President and new officers who determined that the return should be prepared by a paid professional and filed as quickly as was possible. Based on advice received from the professional, the Chamber is submitting a 990EZ rather than a 990N. The organization has never been late or remiss before or since in filing its annual returns, and, in fact, the 2014 990N was submitted 3/12/15.
