THE SOLE CLASS A MEMBER OF THE CORPORATION IS SOUTHWEST COMMUNITY HOSPITAL, INC., A TEXAS NON-PROFIT CORPORATION. THE SOLE CLASS B MEMBER OF THE CORPORATION IS MHHS. MHHS HAS THE RIGHT TO APPOINT A SINGLE INDIVIDUAL TO THE BOARD OF DIRECTORS BUT HAS NO VOTING, VETO, APPROVAL OR CONSENT RIGHTS AS A MEMBER OF THE CORPORATION OTHER THAN THE RIGHTS THAT ARE EXPRESSLY SET FORTH IN THE ARTICLES OF INCORPORATION OF THE CORPORATION OR THE BYLAWS.
