ARTICLE VII, SECTION 2 SHALL BE AMENDED TO READ IN ITS ENTIRETY AS FOLLOWS: UNLESS A QUORUM IS PRESENT NO BUSINESS SHALL BE TRANSACTED. TRUSTEE(S) MAY BE PRESENT AT A REGULAR MEETING OR SPECIAL MEETING IN PERSON OR MAY ATTEND BY TELECONFERENCE OR VIDEO CONFERENCE CALL. L. NO. 104-191 (HIPAA) AND THE HIPAA PRIVACY REGULATIONS, 45 CODE OF FEDERAL REGULATIONS, PARTS 160 AND 164, SUBPARTS A THROUGH E. SPECIFICALLY, THE HEALTH PLAN AND IEBC WILL USE AND DISCLOSE PHI FOR PURPOSES RELATED TO HEALTH CARE TREATMENT, PAYMENT FOR HEALTH CARE, AND HEALTH CARE OPERATIONS, AS DEFINED IN THE HIPAA PRIVACY REGULATIONS.
