THE FOLLOWING PROCESS IS FOR BOARD MEMBERS: - BOARD MEMBERS ARE GIVEN THE CONFLICT OF INTEREST POLICY WHEN THEY JOIN THE BOARD OF DIRECTORS. THE CERTIFICATE OF ACKNOWLEDGEMENT IS THEN REVIEWED BY THE GENERAL COUNSEL.

USE OF COMPARABLE COMPENSATION DATA - THE COMPENSATION OF THE PERSON IS REVIEWED AND APPROVED USING COMPARABLE COMPENSATION DATA FOR SIMILARLY QUALIFIED PERSONS IN FUNCTIONALLY COMPARABLE POSITIONS AT SIMILARLY SITUATED ORGANIZATIONS. CONTEMPORANEOUS DOCUMENTATION AND RECORDKEEPING - THERE IS CONTEMPORANEOUS DOCUMENTATION AND RECORDKEEPING WITH RESPECT TO THE DELIBERATIONS AND DECISIONS REGARDING THE COMPENSATION ARRANGEMENT. THE EXECUTIVE COMMITTEE SHALL MAKE THIS DETERMINATION AT LEAST ONCE ANNUALLY. FINAL BOARD ACTION - ONLY THOSE DIRECTORS WHO ARE FREE OF CONFLICTS OF INTEREST MAY VOTE ON EXECUTIVE COMPENSATION. THE BOARD OF DIRECTORS SHALL REVIEW AND APPROVE CEO COMPENSATION, AFTER A REVIEW OF COMPARABILITY DATA OR OTHER EVIDENCE THAT COMPENSATION IS REASONABLE, AND SHALL CONTEMPORANEOUSLY SUBSTANTIATE ITS DELIBERATION AND DECISION IN THE MINUTES.
