THE AGREEMENT WAS APPROVED BY THE COMMITTEE AND BOARD, IN THE ABSENCE OF THE CEO, AND THE DECISION DOCUMENTED IN THE MINUTES. (B) COMPENSATION OF VICE PRESIDENTS, DEPARTMENT HEADS AND DEPARTMENTAL DIRECTORS AND MANAGERS IS DETERMINED BY THE HR/COMPENSATION COMMITTEE, BASED UPON THE RECOMMENDATIONS OF THE CEO, WHO RELIES ON PERFORMANCE REPORTS AND COMPARABILITY DATA PROVIDED TO HER BY THE ORGANIZATION'S HUMAN RESOURCES DIRECTOR. THE RECOMMENDATIONS OF THE HR/COMPENSATION COMMITTEE, WHICH ALSO TAKES INTO CONSIDERATION DATA REGARDING COMPARABLE POSITIONS AT OTHER ORGANIATIONS, ARE PRESENTED TO THE BOARD OF DIRECTORS FOR APPROVAL, AND ITS DELIBERATIONS AND DECISION ARE CONTEMPORANEOUSLY DOCUMENTED AS PART OF THE MINUTES OF THE PROCEEDINGS.
