PART X QUESTION 2	The Internal Revenue Service and the State of Minnesota have determined that the Association is exempt from income tax, as an organization described in Section 501(c)(6) of the Internal Revenue Code. The Assocation has received a favorable determination letter from the Internal Revenue Service, stating that it is exempt from federal income taxes under the provisions of Section 501(c)(6) of the Internal Revenue Code of 1986 (IRC), except for income taxes pertaining to unrelated business income. The Financial Accounting Standards Board (FASB) issued guidance that requires tax effects from uncertain tax positions to be recognized in the financial statements only if the position is more likely than not to be sustained if the position were to be callenged by a taxing authority. Management has determined there are no material uncertain positions that require recognition in the financial statements. Additionally, no provision for income taxes is reflected in the statements of activities or statements of financial position. The tax years ended 2011, 2012, and 2013 are still open to audit for both federal and state purposes.

Part VI Line 6	MAPA has two different classifications of members. A producer member is any individual, firm or corporation operated on a for-profit basis engaged in the manufacture or production of hot-mix asphalt. A contractor member is any individual, firm or corporation operated on a for-profit basis engaged in the placement of hot-mix asphalt, but does not own or operate hot-mix production facilities. Each Producer/Contractor member shall be entitled to one vote.
Part VI Line 7a	The orgnaization's producer/contractor member committee (the three past presidents) present contractor board nominations to the membership ("Producer", "Non-Producer", and "Associates") to elect the Board of Directors at the annual meeting.
Part VI Line 8b	MAPA had no committees for which contemporaneous documentation was required.
Part VI Line 15a	MAPA's benefits and compensation committee, in conjunction with the board of directors, determines and approves the compensation of the executive director.
