Explanation
WAAIME Section Activity:
The Women's Auxiliary to the American Institute for Mining, Metallurgical, and Petroleum Engineers, Inc. (a nonprofit corporation) ("WAAIME") previously merged into Society for Mining, Metallurgy, and Exploration, Inc. (a nonprofit corporation) ("SME"). SME was the surviving entity. WAAIME became a division of SME and its pre-merger members and sections became members and sections of the WAAIME division of SME. Following protracted correspondence with the Internal Revenue Service and consultation with its legal counsel, SME determined that, based on the merger documents and SME's structure with respect to its other sections, the WAAIME section information could properly be included on SME's Form 990. This decision was finalized late in the process of the preparation of SME's 2013 Form 990 (for the tax year ended September 30, 2014). However, SME did not have the information necessary to accurately report such activity on its Form 990. SME is in the process of collecting such information and will file an amended 2013 Form 990 upon its receipt of such information.

Form 990 is prepared by an independent CPA firm and is reviewed by the organization's Director of Finance and Accounting Manager. The 990 is then reviewed by the organization's board of directors prior to being filed with the IRS.
Form 990, Part VI, Section B, line 12c
Board members receive a copy of the organizations a conflict of interest policy as part of their board introduction packet, and disclose potential conflicts of interest upon joining the board. Any conflicts thereafter are disclosed as they become known. Board members lacking independence on an issue withdraw themselves from the decision making process.
Form 990, Part VI, Section B, line 15
Compensation offered to the organization's Executive Director is established by an independent, third party compensation consultant. This consultant conducts a study of similar organizations, in similar industries, when determining appropriate salary and benefits for the position. Independent members of the board discuss and approve the compensation package, and a written employment contract is put in place. This process takes place on an annual basis. The Board of Directors entrusts the Executive Director with determining compensation for other officers of the organization. Compensation of officers is based off of comparability studies of similar positions within the engineering industry. This process also takes place on an annual basis.

The audit committee of the board of directors is responsible for overseeing the audit and selecting the independent accounting firm. This process has not changed from the previous year.
