Explanation
Form 990, Part VI, Line 4: Description of Significant Changes to Organizational Documents
The bylaws were changed as follows:1. The Alliance further clarified qualifications of board members to include those who have been in active in their state trust fund for at least one year, have attended at least on Alliance annual membership meeting and whose involvement reflects a commitment to benefit the national versus a local interest.2. The board president must meet the above qualifications and must also have served on the board for at least one year.3. Some changes were for the purpose of making the nominations process more transparent and to encourage more nominations from throughout the national network of Alliance members. 4. The board elections now take place prior to the annual meeting and are ratified at the annual meeting. 5. Board members take office at the beginning of the Alliance fiscal year through November 1st.6. Officers terms are now two years rather than one year. Officers may not serve more than three consecutive terms in the same office, with the exception of the president who will only be able to serve two terms given the requirement to have already been on the board for a year prior to taking office.7. The Past President now serves just a one-year term.8. A governance committee was created and the chair is the vice-president of the board.The purpose of these changes was to better engage the membership in the elections process and to bring on new board members prior to the in-person meeting each year that takes place at the annual meetings.

Per the Organization's bylaws:"Section 2.1. Classes and Members. The qualification, membership fees and rights of each member shall be determined by the Board of Directors except as stated in these bylaws. The Corporation shall have the following members:a) A Class A member is the designated representative of a child abuse prevention or Children's Trust Fund organization established by a law in a state; andb) A Class B member is the designated representative of an organization or an individual other than the designated representative of a child abuse prevention or a children's trust fund organization established by a law in a state."
Form 990, Part VI, Line 7a: How Members or Shareholders Elect Governing Body
Per the Organization's bylaws:"Section 2.2. Voting Rights. Each Class A member shall be entitled to one vote on each matter submitted to a vote of the members. Class B members shall not be entitled to a vote except as otherwise provided in the Bylaws."
Form 990, Part VI, Line 7b: Describe Decisions of Governing Body Approval by Members or Shareholders
Members elect board members and officers and members have final approval over bylaws changes. These take place each year at the Alliance annual meeting.
Form 990, Part VI, Line 8: Explanation of No Contemporaneously Documentation of Meetings
There are no committees with authority to act on behalf of the governing body.
Form 990, Part VI, Line 11b: Form 990 Review Process
The Form 990 is first reviewed by the finance committee and audit chair. All board members then receive a copy of the Form 990 before it is filed with the IRS. The Form 990 is discussed at a board meeting to clarify any questions.
Form 990, Part VI, Line 12c: Explanation of Monitoring and Enforcement of Conflicts
Every year board members and key personnel complete a conflict of interest letter to disclose any conflicts of interest. Any indications of a conflict of interest are discussed and explored. There has not been an actual conflict of interest but if one was revealed it would require a change on the part of individual to ensure that there was no further conflict.
Form 990, Part VI, Line 15a: Compensation Review & Approval Process - CEO, Top Management
For the Executive Director, the board of directors reviewed compensation for organizations with similar responsibilities, conducted an evaluation of the Executive Director and met in executive sessions to determine the amount of the compensation. Compensation has remained unchanged for several years.
