Form 990-EZ, Header, Line B
During 2014, we realized that credit card fees should more properly be reclassified from a contra-revenue item to an expense item. We have found that for managing our business, credit card fees are better classified as a separate expense item under Finance & Administrative expense. The accrual method of accounting has been consistently used in the past. However in past Form 990-EZs the cash accounting method box was erroneously checked. Our business is a summer-only community swim team for youth. Since the team has no receivables, inventory or fixed assets, there are no material differences in financial reporting between cash and accrual basis. However, we have now corrected the return to show the accrual accounting method. There were also a few other immaterial reclassifications of expenses made as corrections for consistency in reporting.

Form 990-EZ, Part II, Line 26
The municipal pool is used for swim team practices and swim meets. Due to city budget cuts, the pool is evaluated on an annual basis by the City Council and could possibly be closed for a season or indefinitely. In that event, the cost of operating the pool (utilities, chemicals and maintenance) would need to be covered by the Swim Team. A reasonable estimate of that contingent liability is $25,000.
Form 990-EZ, Part V, Line 34
The organization's Articles of Association and Bylaws were amended on July 25 2013. The significant changes to the Bylaws were: (1) the voting members of the organization are now the members of the Parents of Dolphins (the "POD"), rather than all parents of team swimmers. Any parent or guardian of a team swimmer may be a member of the POD if they are willing to carry out an active role in the operation of the organization. The Board may remove a parent from their role as a POD member only if that parent fails to carry out his or her designated role on the POD to the detriment of the team; (2) several operational provisions, such as the complaints procedure and procedure for removal of a swimmer from the team, have been removed from the Bylaws. These provisions are now contained with operational team documents; (3) The Bylaws no longer specify a minimum number of Board members; (4) Board members no longer need to be a parent or guardian of a current team swimmer; (5) the requirement to hold an annual meeting of all members of the team has been changed to a requirement to hold an annual meeting of the POD, although failure to hold such a meeting does not invalidate any action taken by the board of directors; (6) the quorum for a POD meeting has been changed to one half of POD members, rather than the one fourth of all members previously required for meetings of members; (7) the process for election of new board members has been simplified; (8) Board meetings are now required to be held quarterly or at such interval as the Board may deem appropriate, rather than monthly; (9) electronic voting is now expressly permitted; (10) any change to the Bylaws must now by approved by the POD. The quorum is 50% of POD members and a 2/3 majority of votes cast are required to affirm the proposal. The Articles of Association were amended at the same time as the Bylaws to reflect the change to the voting members of the organization.
