6. NORFOLK CITY UNION OF THE KING'S DAUGHTERS, INC. IS A VIRGINIA NON-STOCK CORPORATION. AS A VIRGINIA NON-STOCK CORPORATION, IT HAS MEMBERS. THERE ARE THREE CATEGORIES OF MEMBERS: ADULT MEMBERS, JUNIOR MEMBERS AND HONORARY MEMBERS. 7A. ADULT MEMBERS ELECT THE BOARD OF DIRECTORS OF THE ORGANIZATION. THE BOARD OF DIRECTORS IS THE GOVERNING BODY OF THE ORGANIZATION. 7B. THE AMENDMENT OF THE BYLAWS OF THE ORGANIZATION REQUIRES THE APPROVAL OF THE ADULT MEMBERS.

The Organization's president and other officers serve in a volunteer capacity and do not receive compensation. As such the organization does not currently have a process for determining compensation for the president and other officers. Any staff of the organization are employees of and are compensated by Children's Hospital of the King's Daughters (CHKD), an affiliated organization. These staff are subject to CHKD's compensation policies and processes. CHKD is then reimbursed by the organization for compensation paid.
