THE BOARD COMPENSATES ITS ASSISTANT TREASURER AND ITS GENERAL COUNSEL/SECRETARY FOR THE DUTIES THE BOARD DELEGATES TO THEM; THE BOARD COMPENSATES ONE BOARD MEMBER TO SERVE AS SHAREHOLDER REPRESENTATIVE IN CONNECTION WITH THE SALE OF A COMPANY OF WHICH THE FOUNDATION WAS MAJORITY OWNER.
