Briefly describe the organization’s mission: To support the mission and programs of Mission Hospital, Inc. and Mission Health System, Inc. and of other organizations that are tax exempt under the provisions of Section 501(c)(3) of the Internal Revenue Code and work to benefit the community and region served by the entities listed above. To receive and maintain contributions of money, personal property and/or real property, and to use and apply either directly or by distribution to a Tax-Exempt Organization such contributions exclusively for exempt purposes.

The Organization continued to support Mission Hospital with cash flow from the $15 million capital campaign for the $60 million Cancer Center, including $1million given to the hospital during this year. Funds were provided to assist with construction of a new genetics center at Mission. Children's departments received funding for a major renovation to the pediatric intensive care unit, and for the neonatal intensive care unit and mother/baby unit renovations.

This $1.6 million provided support for the services of Mission Children's Hospital and programs that Mission offers specifically for women in western North Carolina. Funding supported the breast program at Mission, which offers comprehensive, coordinated and compassionate care to patients with breast cancer, and for the Ladies Night Out program, which offers free mammograms for low-income, uninsured women of Western North Carolina . Funds were provided for programs to women of child-bearing age for reducing birth defects and preventing fetal alcohol syndrome in newborn infants. Children's departments received support for giving free car seats for every baby born at Mission; for operating two mobile dental vans to bring free or low cost dental care to rural Southern Appalachian children; for expanding the autism program at the child development center; for supporting Mission's child life and child protection program; and several other outreach programs.

Over $1.2 million supported many educational programs, including a collaborative one with UNC-Chapel Hill and Mountain Area Health Education Center for 3rd year medical students to receive training at Mission. The foundation of this program, a longitudinal integrated curriculum, places a cohort of students in Mission to allow them to follow patients in all health care settings. Educational funding was also provided to nurses and allied health professionals to attend conferences and seminars pertaining to their specialized fields.

Other programs receiving support were: the Mission Rathbun House, a hospitality house that offers lodging to patients and their caregivers coming to the region for medical treatment; the medical home program that enabled Mission to provide targeted primary care groups with tools and expertise to become patient-centered medical homes; the hospital disaster preparedness program for our region, which provides equipment and personnel to meet medical needs during a disaster; a physician volunteer program that provides comprehensive care to low-income uninsured residents of the region; and telehealth services in the areas of tele-psychiatry and tele-stroke with sites established in several regional health centers in Western North Carolina.

Part I, Line 2: The Foundation is an affiliate with Mission Health System, Inc and Mission Hospital, Inc. The boards of the affiliated organizations work closely toward shared tax exempt purpose expenditures. The Foundation has a committee that oversees the administration of other grants and makes donations primarily to 501(c)(3) organizations that benefit the community. For Part III, The Foundation disburses funds in accordance with a policy for individuals in crisis situations. The individuals complete an application and if the individual qualifies for assistance, the funds are authorized for payment. Disbursements are monitored to be sure they meet the policy guidelines.
Keisha Young Scholarship Program To qualify for a Keisha Young Health Careers Scholarship, the following requirements must be met and provided along with an application for the scholarship. Be a member of a minority group. Minority is defined according to the guidelines of the federal and state governments as African-American, Hispanic, Asian/Pacific Islander, and Native American. Be a resident of Western North Carolina. Maintain a minimum cumulative Grade Point Average of 2.75 on a 4.0 scale. Pursue a field of study for which Mission Hospital has an employment need. Students must be interested in pursuing a career in the following areas: Occupational Therapist, Pharmacist, Paramedic, Registered Nurse ( ADN or AND-BSN programs),Physical Therapist, Physical Therapist Assistant, SpeechTherapist,Surgical Tech.

Form 990, Part VI, Section A, line 6 Mission Health System, Inc, a 501(c)(3) is the parent company of Mission Healthcare Foundation, Inc. It is the sole member of Mission Healthcare Foundation, Inc.
Form 990, Part VI, Section A, line 7a Mission Health System, the sole member (Member) of Mission Healthcare Foundation, Inc has reserved powers relating to the governing body of Mission Healthcare Foundation as follows: All nominations to the Board of Trustees shall be approved by the Member. All vacancies occurring among the Trustees may be filled for the unexpired portion of the vacating Trustee's term by vote of the remaining Trustees then serving, subject to the approval of the Member. Trustees may be removed from office by the Board of Directors of the Member, with or without cause.
Form 990, Part VI, Section A, line 7b Mission Health System as sole member of Mission Healthcare Foundation has reserve powers as follows: The financial statements of the Foundation shall be audited each fiscal year by a certified public accountant or accountants selected by the Member. Each amendment or repeal of the Foundation's Bylaws or the Articles of Incorporation of the Foundation or adoption of new Bylaws shall be made subject to the approval of the Member.
Form 990, Part VI, Section B, line 11 A draft of the Form 990 is prepared by the Director of Tax Services. The Form 990 is reviewed by the organization's President and the Parent Company's CEO, CFO, General Counsel and Compliance Officer. In addition, an outside accounting firm is engaged to review and sign the 990 and prepare the return for final filing with the IRS. Before filing, highlights of Form 990 are reviewed by the Foundation Executive Committee. After committee review, a draft of the 990 is provided to the Mission Healthcare Foundation Board of Trustees for review. Highlights of the governance, compensation, and financial statements are reviewed with the board and they have the opportunity to ask questions and suggest improvements or provide corrections. If there are changes as a result of board review, a corrected Form 990 will be provided for final approval before filing. After final approval, the Form 990 will be filed with the IRS.
Form 990, Part VI, Section B, line 12c The Organizations Conflict of Interest Policy is reviewed and updated annually. Education about the policy and the responsibilities of a board member occurs annually and for new board members during orientation. If a conflict of interest is identified, the interested person does not participate in any decision relating to the transaction issue. A conflict of interest is a particular relationship or arrangement that would reasonably be expected to exert an influence on the individual's judgment and preclude the individual from being an Independent Director or being independent with respect to the transaction under consideration. In addition to board members, the organization's conflict of interest policy applies to members of senior leadership, medical staff, clinical service line leaders, elected medical staff leaders, departmental directors, staff members working in the purchasing department, and all other staff members with purchasing authority, as well as immediate family members of such interested persons and entities in which interested persons have a material financial interest. The organization's policy is for all interested persons to disclose any and all conflicts of interest in accordance with the IRS guidelines for tax-exempt entities as well as any other applicable state or federal law. Upon initial assumption of duties, interested persons are provided with a copy of the conflict of interest policy and submit a conflict of interest disclosure statement. Thereafter, the statements will be completed annually. Periodically all staff members are asked to complete a conflict of interest disclosure statement. Internal and external auditors, General Counsel or outside counsel will periodically conduct a review of the disclosure process to determine whether the organization is in compliance with the policy.
Form 990, Part VI, Section B, line 15 The Organization draws wage comparison data from outside executive compensation consultants to ensure compensation levels are at fair market value The Human Resources and Compensation Committee (Committee) reviews this data and recommends to the Board any revisions to the overall philosophy and policy to guide the determination of compensation and benefit packages for executives which includes the CEO, the CFO, and President as well as all other executives, which would include all key employees. The Committee keeps and distributes minutes of all its meetings to its members. Items of a sensitive nature are referenced in the minutes with detailed, supporting documentation retained on file. The Committee also discloses any potential conflicts of interest situations to the Committee Chairman that may affect their independent directors' status as soon as they arise, and maintains complete documentation of all matters discussed by the Committee. The Committee obtains education and training to exercise all responsibilities effectively and keeps abreast of significant developments in executive compensation practices and regulations, and ensures that all aspects of Mission Health System and Hospital executive compensation adhere to all relevant regulatory requirements, and reviews the Committee charter annually revising as appropriate and conducts an annual evaluation of the Committee's performance.
Form 990, Part VI, Section C, line 19 Mission Healthcare Foundation, Inc. prepares an annual report to the community and makes its financial statements and significant accomplishments available through this report on the Mission Healthcare Foundation website.
