THE DISSOLUTION OF CENTER FOR LEARNING & DEVELOPMENT WAS PRECIPITATED BY A SIGNIFICANT DECREASE IN REVENUE. AS STATED IN THE ARTICLES OF INCORPORATION, ALL PROPERTIES AND ASSETS OF THE CORPORATION REMAINING AFTER PAYING ALL DEBTS AND LIABILITIES AND DESIGNATED EXPENSES WILL BE DISTRIBUTED TO THE STATE OF TEXAS OR TO AN EDUCATIONAL, RELIGIOUS, CHARITABLE, OR OTHER SIMILAR ORGANIZATION THAT IS QUALIFIED AS A CHARITABLE ORGANIZATION UNDER IRS SECTION 501(C)(3). THE CENTER FOR LEARNING AND DEVELOPMENT IS ADHERING TO ITS DISSOLUTION PLAN AS STATED IN ITS ORIGINATING DOCUMENTS AND IS NOT REQUIRED TO TAKE ON THE LIQUIDATION BASIS OF ACCOUNTING. THE CENTER FOR LEARNING AND DEVELOPMENT DONATED THE MAJORITY OF ITS FIXED ASSETS TO COMMUNITIES IN SCHOOLS AS OF AUGUST 31, 2015. ANY FIXED ASSETS THAT WERE STILL AT THE CENTER FOR LEARNING AND DEVELOPMENT LOCATION WERE RETRIEVED BY COMMUNITIES IN SCHOOLS OR DISPOSED OF BY SEPTEMBER 30, 2015. THE CORPORATION'S EDUCATIONAL SOFTWARE WAS SOLD TO VINCERE TECHNOLOGY AT A DISCOUNTED PRICE. THE SOFTWARE'S VALUE HAD DEPRECIATED OVER TIME AND THE USEFULNESS OF THIS ITEM IS NOT AS BENEFICIAL TO VINCERE TECHNOLOGY AS IT WAS TO CENTER FOR LEARNING AND DEVELOPMENT. REMAINING FUNDS WERE HELD IN A CHECKING AND SAVINGS ACCOUNT AT THE FIRST NATIONAL BANK OF CENTRAL TEXAS AS OF AUGUST 31, 2015, AND ALL CERTIFICATES OF DEPOSIT WERE CLOSED PRIOR TO THIS DATE AND TRANSFERRED TO THE ABOVE MENTIONED ACCOUNTS. THE CENTER FOR LEARNING AND DEVELOPMENT WILL BE FILING ITS FINAL 2015 FORM 990 BY FEBRUARY 15, 2016. |
