Form 990, Part VI, Section B, Question 11B THE SEG ACCOUNTING MANAGEMENT WORKING WITH THE AUDITOR PROVIDE AND REVIEW THE FORM 990 DATA AND INFORMATION. THE Chief Financial Officer REVIEWS AND APPROVES THE DRAFT 990, THEN PRESENTS IT TO THE AUDIT COMMITTEE FOR REVIEW. FOLLOWING THEIR REVIEW, THE AUDIT COMMITTEE PROVIDES A COPY OF THE DRAFT 990 TO THE GOVERNING BOARD PRIOR TO FILING.
Form 990, Part VI, Section B, Question 12C SEG reviews its CONFLICT OF INTEREST POLICY with ITS Board of Directors AND SENIOR MANANAGEMENT upon appointment or hire, respectively. THEY MUST SIGN A STATEMENT THAT THEY HAVE RECEIVED THE POLICY, UNDERSTAND THE ACTIVITIES SEG ENGAGES IN NECESSARY TO MAINTAIN ITS TAX-EXEMPT STATUS, and will immediately disclose actual and potential conflicts of interest as they arise in accordance with policy.
Form 990, Part VI, Section B, Questions 15A & 15B Annually, the compensation committee, made up of officers of the board, reviews compensation comparability data, among other information, and makes a recommendation to the full board on any adjustment in compensation for the executive director. The board reviews the information provided as part of this process and determines the compensation of the executive director for the coming year. The executive director utilizes compensation comparability data, along with other information, to determine the compensation of key employees. The board approves the total salaries budget annually.
Form 990, Part VI, Questions 6 & 7A Active members of the society annually elect members of the board of directors and members of the council to terms of fixed length. Any action of the board of directors or the council may be reviewed by active members. Active members may petition to change a board of directors or council decision with participation of certain percent. If the board does not adopt the change proposed by petition and the proposed change is within the limitations of the society's bylaws, the petitioned change is submitted to active members by ballot. If a majority votes in favor of the petitioned change, the change is adopted as promptly as practicable.
