| Form 990, Part VI, Section A, Line 6 | There are three classes of Members. 1 The Provider Member class is open to any facility, company or individual owner or developer of an assisted living, independent, CCRC, retirement residence or similar type of facility for the elderly, whether doing business as an Association, partnership, limited liability company, or sole proprietorship, who has as its principal purpose the provision or development of assisted living facilities or services for the elderly.2 The Industry Partner Member class is open to any individual, limited liability company or Association that currently provides goods or services to the assisted living industry or has an interestinvolvement in the assisted living industry but does not own, operate or manage an assisted living facility, and 3 The General Member class is open to any student, other organization, governmental agency or area agency on aging that is not associated with any company that develops, owns, operates or manages assisted living facilities. Voting. Except to the extent that the voting rights of any class or classes of members are enlarged, limited or denied by these Bylaws, each member of each class designated in these Bylaws as a voting class who has paid the dues required for that class shall have one vote upon each matter submitted to a vote at any meeting of the Association, annual or special, and may vote either in person or by proxy. All organizations must designate an individual representative for voting purposes. |

The terms of such compensation, information relied upon to determine the terms of any compensation, and its source shall be recorded in writing. An individual who is a voting member of the board or a committee with the board delegated powers and who receives compensation, directly or indirectly, from the foundation for services is precluded from participating in discussions or votes pertaining to their own compensation. |
