| Form 990, Part VI, line 15a and 15b | The organization engaged a consulting firm to perform a market study for each position below CEO, including the Senior Director, Operations. The firm used five separate salary data sources to place each position in an appropriate pay grade. Increases in salaries cannot exceed the maximum salary within a position's grade level. Pay Grades are reviewed annually for market and cost-of-living percentage increases. If an employee's job description changes or is updated significantly, the position is reevaluated by the consulting firm for current market data and determining if the pay grade for the position should change. The current CEO received an annual evaluation of performance from the IAAP Board. An independent human resources consulting firm performs annual market compensation analysis as well as training on how to use the performance evaluation and market analysis to determine an appropriate rate of merit increase. |

| Form 990, Part VI, line 7a | The Directors-at-Large will be nominated in the manner determined by the Board and elected at the Business Session. Director-at-Large terms will be staggered so that no more than half of the Directors-at-Large are scheduled to expire in any given year. The elected officers of the Corporation will be a Chair, Chair-Elect, and Vice Chair, to be elected by the Members during the Annual Meeting, and such other officers as the Board may from time to time determine, to be elected by the Board. The elected officers will have such qualifications as the Board may prescribe from time to time. Each Member-elected officer will hold office until the next Annual Meeting, unless s/he sooner dies, resigns, or is removed from office; provided, however, that the Chair-Elect will automatically succeed to the position of Chair at the expiration of the Chair's term of office or to fill a vacancy in the office of Chair occurring during the term of office of the Chair-Elect, and thereafter continue in the position of Chair for the following year. The Appointed Directors, if any, will serve for one (1) year, unless s/he sooner dies, resigns or is removed. Vacancies in the office of Director-at-Large or Appointed Director may be filled by the affirmative vote of the majority of the remaining directors and each director so elected will hold office for the unexpired term of her/his predecessor in office, if any, until the next election of directors or until her/his successor is elected, unless s/he sooner dies, resigns or is removed. A vacancy will be considered to exist by reason of the resignation, removal or death of a director and newly created directorships resulting from any increase in the number of directors. |
| Form 990, Part VI, line 12c | The organization regularly and consistently monitors and enforces its compliance with its conflict of interest policy via an annual representation that requires its directors and officers to affirm that they have disclosed any actual or possible conflict of interest situations. The board reviews all annual representations. In addition, at each monthly board meeting, an update of any outstanding conflicts or possible conflicts that were identified at prior meetings, and any newly identlified conflicts or possible conflicts that may have arisen since the last meeting, are addressed. A potentially conflicted member may make a presentation at a board meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. The Board shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. After exercising due diligience, the board or committee shall determine whether IAAP can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in IAAP's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination it shall make its decision as to whether to enter the transaction or arrangement. If the board or committee has reasonable cause to believe a member has failed to disclose actual or possible conflicts of interest, it shall inform the member of the basis for such belief and afford the member an opportunity to explain the alleged failure to disclose. If, after hearing the member's response and after making further investigation as warranted by the circumstances, the board or committee determines the member has failed to disclose an actual or possible conflict of interest, it shall take appropriate disciplinary and corrective action. |
| Form 990, Part XII, line 2c | The Audit Committee consists of the current IAAP Chair, current IAAP Chair-elect, current IAAP Director appointed with financial responsibilities, immediate past IAAP Chair, Chief Executive Officer and Senior Director, Operations. The Audit Committee will have the sole authority to appoint or replace the independent auditor (subject to board approval) and will be responsible for the compensation and oversight of the work of the independent auditor (including resolution of disagreements between management and the independent auditor regarding financial reporting) for the purpose of preparing or issuing an audit report or related work or performing other audit, review or attest services. |
| Form 990, Part III, Line 2 | IAAP offered a new program called the Leadership Academy. IAAP's Leadership Academy is an intensive 16-week program designed to prepare individuals working in the administrative profession to become strategic business partners in a variety of work settings. The program includes one all day face-to-face educational session, bi-weekly small group interactive webinars, one-on-one coaching calls with faculty members, and a group project. IAAP also provided new professional development opportunities for administrative professionals called Branch and Local Area Network (LAN) events. Branch events are regional educational conferences designed to provide top-tier speakers and content throughout North America in a one-day format. LAN events are local events which typically provide one or two hours of professional networking and/or education. LAN events are designed to provide high quality professional development close to home or virtually through a webinar. |
