Form 990, Part VI, Section B, line 11	Form 990 is reviewed by the Board before being filed, a draft is made available to each Board Member.
Form 990, Part VI, Section B, line 12c	The Governance Committee of the Board is responsible for recruiting, screening, interviewing, and selecting individuals qualified to become Board members to stand for election to the Board at the Annual Meeting. In its review process, the Governance Committee assesses, among other things, if the candidate is free of conflicts of interest that would interfere with their ability to discharge their duties as a Board member or would violate any applicable law or regulation. Prior to the initial election of a director, such person must complete, sign, and submit a written statement identifying any potential conflict. Thereafter, on an annual basis, a director must sign an Affirmation of Compliance and Disclosure Statement. The director is also under a continuing obligation to disclose any potential conflict of interest by filing a supplemental Disclosure Statement, as soon as a potential conflict of interest is known or reasonably should be known. Officers and Key Employees also are required to identify potential conflicts and submit annual Disclosure Statements. The Audit and Finance Committee of the Board oversees the implementation, and compliance with, the Conflict of Interest Policy. The Disclosure Statements are reviewed by the Audit and Finance Committee. The Committee makes determinations with respect to conflicts of interest and Related Party Transactions. The person with a conflict of interest cannot be present at or participate in the Committee's deliberations or voting on the matter giving rise to the conflict.
